当社オークションに初めて参加される際には、事前の登録が必要です（無料）。登録方法には、「個人」「法人」の2種 類があり、オークション会場・当社Webサイトにて受け付けております。どちらの場合にも「ご登録申込書」へのご 記入と、本人確認書類の添付をお願いしております。マネーロンダリング（麻薬犯罪などにかかわる不正資金の洗 浄）を防止するためにも必要な手続きですので、何卒ご協力をお願いいたします。
・個人登録（個人のご名義で登録を希望する場合）
本人確認書類運転免許証、各種健康保険被保険者証、各種年金手帳のコピーのうちいずれか、または印鑑証明 書、住民票の写し、住民票の記載事項証明書、在留カード、外国人登録原票記載事項証明書の原本のいずれか。

オークション開催日の2〜3日前より、全ての出品作品を展示する下見会を開催いたします。下見会は予約不要・ 入場無料ですので、お気軽にお越しください。カタログ図版の色や状態は実物と異なる場合がございますので、必 ずお客様ご自身で作品の状態をご確認ください。会場では当社スタッフがご質問、ご相談にお応えいたします。ま た、ご希望によっては下見会以前でも作品をご覧いただけますので、お申し付けください。

会場入札 オークション当日、会場での直接参加
オークション会場受付にて入場券またはご本人様確認書類をご提示いただき、番号札（パドル）をお受け取 りの上、オークションにご参加ください。
オークションはカタログの掲載順に進行いたします。壇上のオークショニアが金額（日本円）を競り上げま すので、落札ご希望のお客様はパドルをオークショニアに見えるようお挙げください。競り上げる価格の 幅は、通常約3％～ 10％です。
ハンマーが打たれて、お客様がお持ちのパドル番号が読まれた場合、ご落札にご成功いただけたものとご 理解ください。お帰りの際に受付にて落札内容をご確認、落札確認書にご署名をいただき、落札お手続き完 了となります。
落札後のキャンセルはできません。

前田青邨は、大和絵や琳派を中心とした東西の古 典絵画の研究と写生を基礎とし、歴史画をはじめ人 物画や風俗画、花鳥画などの幅広い分野に、近代的 で装飾性豊かな作風を展開した画家である。
1885（明治18）年、岐阜県に生まれた青邨は、16
歳で梶田半古に入門し、同門の小林古径に兄事する。
早くから歴史画で頭角を現し、安田靫彦ら気鋭の画
家の集まる紅児会に参加して日本画の革新を目指し
た。解散後は再興日本美術院の同人となり、1922（大 正11）年に同院の留学生としてヨーロッパへ留学。
戦後は院展第2世代の古径・靫彦らとともに画壇を リードし続けた。
青邨が古希を迎える頃より手掛け始めた花鳥画に おいて、《紅白梅》は最も多く制作された画題の一つ。
水辺に満開の梅の花が咲き乱れる春爛漫の風景が表 された本作も、この円熟期に制作された作品であろ

う。青邨が後半生を過ごした鎌倉の画室の前には紅 白の梅の古木があり、しばしばそれを写生し、作品 のモティーフとしたという。
本作では、曲線を描くように画面の外へと奔放に 広がる梅の枝とヴォリュームに富む樹幹が、俵屋宗 達ら琳派の絵師たちが用いたたらしこみの技法に よって表されている。それは機知に富んだ構図と相 俟って、青邨の琳派研究の成果と洗練された感性を うかがわせる。そして、小さな円や点にまで形を単 純化された鮮やかな紅白の花と金彩が施された背景 が、作品の装飾性をこれ以上ないほどに高めている。
さらに、樹上には幸運を招くという鷽 うそ が二羽、水面 には夫婦和合の象徴であるつがいの 鴛 おし 鴦 どり が描かれ、 吉祥画としての魅力も感じさせる作と言えよう。

明治・大正・昭和という激動の時代を通して画壇 を牽引し続けた近代日本画の巨匠、横山大観。
日本美術院創設以来、西洋絵画の画法を導入し、 日本画の新たな表現に果敢に挑んできた大観は、大 正後期より皇室への献上画をしばしば手掛け、在野 の画家から日本を代表する官の画家としての性格を 次第に強めていった。それは昭和前期の帝室技芸員 への就任、第1回文化勲章の受章、陸海軍への売上 金献納のために制作された《山に因む十題》《海に因 む十題》（1940年作）の発表という出来事からも自 明であろう。この時期の作品には、戦争前夜から戦 時下にかけての政治・社会情勢と相俟って、水戸藩 士の家に生まれた大観の精神主義的な志向、日本の 風土や歴史への敬愛がいっそう強く表現された。
本作の画題《天 てん 壌 じょう 無 む 窮 きゅう 》は、天地とともに永遠に 続くことを意味する。現在の皇居前広場付近から皇 居を望む風景を題材とし、アーチ型の正門石橋と「二 重橋」とも呼ばれる正門鉄橋、石垣の上に聳える伏 見櫓、その奥に広がる森が表されている。大観の画 業において皇居という題材は希少であるが、《千代 田城》（1934年頃作・足立美術館蔵）をはじめ、大 正末期より戦時中にかけて数点の作例が知られる。
本作は画面右下の落款と印より、1940（昭和15） 年から1947（昭和22）年の間に制作された作であろ う。墨と深緑色の濃淡、ぼかし、繊細な線描などを 使い分け、深い静寂と湿潤な空気に包まれる皇居を 巧みに描き出している。さらに、前景に大きな余白 を設けた構図、所々に刷かれた金泥、濠の上を飛翔 する鶴が、その清浄さと厳かさをいっそう際立たせ ている。国家と皇室の末永い繁栄を祈り、崇敬の念 を込めて筆を握る大観の真摯な想いが伝わるようで ある。
日本画の五山
―東山魁夷・杉山寧・髙山辰雄・加山又造・平山郁夫

「日本画の五山」とは
東山魁夷（1908-1999）・杉山寧（1909-1993）・髙 山辰雄（1912-2007）・加山又造（1927-2004）・平山 郁夫（1930-2009）は、戦後の日本画壇をリードし、 年号が令和となった現在も高い人気を誇る日本画 の巨匠たちである。5人とも名前に「山」がつくこと から、尊敬の念と親しみを込め、「日本画の五山」
と呼ばれるようになったと考えられる。しかし、い つ頃からこの通称が使われ始めたのであろうか。
1963（昭和38）年11月、東京・京橋の画廊で「五 山会」という展覧会が発足され、その後1983（昭和 58）年まで9回にわたって開催された。美術史家・ 宮川寅雄氏や天童市美術館館長・池田良平氏の論 考によると、「五山」という通称はこの展覧会を機 に生まれ、美術商から世間一般へ次第に広まって いったようである註1）。この時点での「五山」のメン バーは、上記の5人のうち東山・杉山・髙山、そし
て山本丘人と西山英雄であった。まだ30代であっ た加山と平山は選ばれていないが、五山会が解散 し、丘人と西山が没した後、90年代以降に先に紹 介した5人が「五山」と呼ばれるようになったと推 測される。また、彼らのうち日展所属の東山・杉山・ 髙山を指す「日展三山」という呼び方も「五山」と同 時期に生まれたとされている註2）。では、彼らが牽 引してきた戦後の日本画が置かれた状況はどのよう なものだったのであろうか。
戦後日本画の歩み
第2次世界大戦が終結し、社会のあらゆる価値基 準が一変する大混乱の中で、伝統的で保守的な性 格の強い日本画も厳しい批判にさらされた。ついに は批評家の間で日本画滅亡論や日本画第二芸術論 が唱えられ、日本画家たちは従来の日本画のあり方 を問い直し、新しい道を模索することを余儀なくさ れる。その最中の1948（昭和23）年、先陣を切るよ うに「世界性に立脚する日本絵画の創造を期す」註3） という綱領を掲げ、結成された団体が、山本丘人や 加山又造ら気鋭の画家が多く参加した創造美術（現 在の創画会）である。彼らは西洋の近代絵画を参考 としてその強固な画面を目指し、あるいは東洋の古 典を研究して再解釈するなど、各自の個性を生かし、 多様な方向へ進んでいった。そして、彼らの造形意 識は日展や日本美術院（以下、院展という）の日本 画家たちにも大きな刺激を与え、その重厚なマチ エールや鮮烈な色彩は戦後の日本画壇に広く浸透し ていく。
こうした状況の中で、変革の矢面に立たされたの は各団体の中堅や若手の画家たちであり、各自が 自らの置かれた立場で新しい時代と美術思潮に対 峙し、日本画の革新に挑んでいった。戦前からす でに画業をスタートさせていた東山・杉山・髙山、 終戦後に東京美術学校を卒業し、混迷する画壇に 飛び込んだ加山、同じく終戦後に画学生となり、新 しい造形感覚を身につけた平山は、まさにその代表 的な画家たちである。それぞれが日展、院展、創 造美術の中心的な存在としてその後の画壇を担っ ていくこととなる。
オークション出品作品より
では、本オークションに出品される「五山」の画 家たちの作品を概観してみたい。「日展三山」とも 呼ばれた東山・杉山・髙山は、「五山」の一角である とともに戦後の日展において理事長などの要職を 務め、社会的にも重要な役割を担った画家たちで ある。
東山魁夷は戦後、写実に基づく簡潔な形態と構 図、青を基調とした清澄な色彩により、洋画的とも 取れる清新で抒情豊かな風景画を確立し、国民的 画家として人気を博した。出品作品のLOT.115《緑
の山湖》では、北海道釧路市の双湖台より、深い森 に抱かれた二つの湖と遠景の峰々を望む風景を雄 大かつ清爽に表現している。
そして、ギリシャ神話という伝統的な日本画には ない主題で戦後の画業をスタートさせた杉山寧は、 その後も抽象風の作品、エジプトやカッパドキアの 風物を題材とした作品を通して純粋な造形表現を 追求した。LOT.113《翬 き 》では、岩絵具の粒子の輝 きを生かした堅固なマチエールと類いまれな描写 力により、飛翔する二羽の鷺が清朗な気品とともに 描き出されている。
終戦後すぐにゴーギャンの純粋な生き方と作品 に影響を受けた髙山辰雄は、深い精神性に基づく 心象的な風景画や人間の生の根源を見つめ、その 存在の神秘を問うような人物画を追求し続けた。
LOT.88《あかつき》に描かれた道は、髙山芸術の 重要なモティーフの一つである。画面に人間の姿は 見られないが、道はその生の営みの痕跡として、そ
こにある長い時間の集積に思いを馳せるように表さ れている。
また、変革の急先鋒となった創造美術に1950（昭 和25）年から参加した加山又造は、未来派やキュ ビスムといった西洋絵画の手法を取り入れた動物 画のシリーズを発表し、注目を集めた。その後は日 本や東洋の古典に倣った革新的で装飾性豊かな作 品を次々に生み出し、1978（昭和53）年頃より水墨 画に着手する。水墨の手法を用いて、大輪の牡丹 の花を妖艶に描いたLOT.112《華》はこの時期の作 品の一つであろう。
最後に、横山大観をはじめとする再興以来の大 家たちが、戦後も変わらぬ画業を展開した院展に おいて、新風を吹き込んだ新世代を代表する画家 が平山郁夫である。平山は「仏教伝来」を生涯の テーマとし、仏教が伝播したシルクロードを旅して その風物を描き続けた。中国の新疆ウイグル自治区 とインドのカシミール地方との境界にある峠を題材 としたLOT.114《カラコルム峠》では、青の諧調と 平明な描写、重厚なマチエールにより、悠久の歴 史ロマンが抒情的に表現されている。
このように「五山」の画家たちがそれぞれの方法 で創造した新しい日本画は、彼らが指導的な立場 となる1970年代頃には次第に現代の日本画の基調 となっていった。それに伴い、画壇の変革の気運 や各団体の独自色が希薄になったという側面は否 めないであろう。しかし、その一方で、「五山」が 戦後の日本画界に成した頂はそれほどに高いもの であったとも言えよう。

油彩画に明るい外光表現を取り入れ、西洋画の啓 蒙やアカデミズムの確立にも尽力し、日本の美術界 に大きな変革をもたらした黒田清輝は、「日本近代 洋画の父」と呼ばれている。
その重要な主題の一つ、風景画は黒田作品の約6 割を占め註1）、特に大正時代（1912-1924）には小品が 数多く制作された。この時期、教育者や美術行政官、 政治家としての仕事が多忙を極め、大作制作のため の時間の確保が困難になったことがその理由の一つ であるが、黒田は小品について、「スケッチ的に即 座に物を写し得やう。仮 たと 令 い 又即座に出来上らずとも 比較的最初の感覚を失はないで完製されやう」註2）と 述べており、自然に接して抱いた感動を率直に表す ためには、小さな画面が相応しいと考えていたこと がうかがえる。
横約18cmの画面に長閑な春の風景が表された本 作も、この時期に制作された一点であろうか。前景 には畑、その端には積み藁や満開の桜の木らしきも
のが見て取れ、後景には山林が広がっている。本作 においても黒田が日本の美術界にもたらした新しい 要素が用いられているが、その一つは、このように どこにでもある自然や名もなき草花を絵画の題材と する印象派的な視覚である。名所旧跡の景色を描く ものであった日本の風景画において、それは革新的 な提示であった。

「馬の画家」として知られる坂本繁二郎のもう一つ
の代表的な主題といえば、静物画であろう。1930
年代後半より本格的に着手されたこの主題は、柿や
馬鈴薯などの果実や野菜に始まり、やがて書物や箱、
植木鉢などの日常生活の中にある品々が加わり、
1944（昭和19）年頃からは能面のシリーズが展開さ れた。その制作において、坂本は留学中に西洋絵画
から学んだ画面構成や色彩の組み合わせなどの基礎 を踏まえ、東洋の自然観に基づく日本的な静物画を 追求した。坂本にとって静物画は、自身の言葉でい う「物感」註1）、すなわち物の存在感を表現するため の格好の主題となっていったのである。
《植木鉢》は坂本が特に好んだモティーフの一つで あり、本作が描かれた1958（昭和33）年と翌年にか けて集中的に制作されている。この連作では何も植 えられていない植木鉢が描かれたが、その円や円筒 形の形態に造形の基本を見出し、興味を抱いたので あろうか。

日本移民排斥から大恐慌、第2次世界大戦へと続
く激動の時代、国吉康雄はアメリカと日本、二つの 国の間で翻弄されながら、退廃的で憂愁を帯びた女
性像を描いたアメリカン・シーンの画家である。
1930年代、国吉はモデルの女性の姿に自己の感 情や記憶、体験などを重ね合わせ、理想化して描く 「普遍的女性像」（ユニヴァーサル・ウーマン）註）を 創り上げた。すでにアメリカ美術界で地歩を築いて いた国吉は、この女性像によってさらに評価を高め たと言えよう。そして、それは国吉芸術を代表する テーマとなり、1940年代にかけて名作の数々が生 み出された。
1935年作の本作は、羽根飾りつきのファッショ ナブルな帽子を被った女性の半身像である。この年、 国吉は本作のほか、代表作の一つ《デイリー・ニュー ス》（シンシナティ美術館蔵）や《もの思う女》（福武 コレクション蔵）などを制作し、生涯の中でも特に 充実した画業を展開した。
煙草をくゆらせ、気怠い様子で眼を伏せる姿から、 本作に描かれているのは大恐慌後の都会で働く女性 であろうか。その上半身をクローズアップして捉え、 「クニヨシ・ホワイト」と称されたくすんだ乳白色に より衣服や煙草などを表し、らせん状のタッチで帽 子や背景を描き出している。「クニヨシ・ホワイト」 は、パリにおけるレオナール・フジタの「素晴らし き乳白色」同様にニューヨークで人気を博した色彩 であり、その繊細さや微妙さが女性の物憂げな雰囲 気をいっそう際立たせている。彼女もまた国吉の「普 遍的女性像」であり、そこには自由の国アメリカで 画家として懸命に生きる国吉自身の孤独感が色濃く 反映されている。

梅原龍三郎《北京風景 長安街》
最初に北京を見舞ったのは昭和十四年の夏であった。北京飯店五階の大きな窓から長安街や紫禁城を 眺められる一室を占めることが出来たのは幸いだった。樹海の中の金色の甍と赤い壁の楼閣の景観は世 界無類、公園の池の紅蓮も亦美しく、未明に覚めて、黎明の景色を無心に写した。（中略）顧みると今日 迄の自分の生活のうち最も楽しく充実した機会であった。註1）
裸婦や薔薇、南仏カンヌの風景、富士山や浅間
山など、梅原龍三郎はその画業において様々な主
題を手掛けたが、その白眉と言えるのが中国、北京
の風景を描いたシリーズであろう。
1939（昭和14）年7月、第2回満州国美術展に審 査員として招かれた梅原は、帰途に北京を訪れた。
北京では街の広大さ、色鮮やかな中国建築や豊か
に生い茂る樹木に魅了され、1ヶ月半ほど滞在して その風景を熱心に描いた。また、本オークションの
出品作品LOT.148《三鈴》のように、姑 クー 娘 ニャン と呼ばれ
る若い女性をモデルとした人物像にも取り組み、第 ２次世界大戦が激しさを増す1943年まで、毎年長
期にわたり滞在し、制作活動を楽しんだ。《雲中天 壇》（京都国立近代美術館蔵）や《紫禁城》（永青文 庫蔵）、《北京秋天》（東京国立近代美術館蔵）と
いった梅原の代表作の数々もまた、この滞在中に 生み出されている。
裏面の年代より、1940（昭和15）年の夏（当時52 歳）に制作された本作は北京風景の連作の一つで、 東京国立近代美術館所蔵の《長安街》と同構図の類 似作品である。題材の「長安街」は、北京の中心部 にある故宮博物院（紫禁城）と天安門広場の間を東 西に伸びる大通り。この年の7月から9月、梅原は 二度目となる北京を訪れ、定宿とした北京飯店の 508号室で制作を行った。この部屋では明け方に風 景を、午後には姑娘を描いたと自ら回想しているこ とから註2）、本作も早朝の風景であろう。現在の街 並みとは異なるかつての長安街を窓から眺め、明け 行く微妙な色合いの空、牌 ぱい 楼 ろう
という装飾的な門の
あるメインストリートとその左右に点在する廟や役 所などの建造物、辺り一面を覆い尽くす樹林を描 き出している。そして、画面に中心を設けず、外へ の広がりを際立たせた俯瞰の構図は、簡潔なフォ ルムや大胆な筆致と相俟って、開放感や自由さを 強く感じさせる。
また、梅原は1934年頃からしばしば作品に岩絵 具を使用したが、油絵具と岩絵具を併用したと思 われる本作では、それぞれの特徴をモティーフに 生かしながら美しい眺望を表している。特に風景の
大部分を占める、紅殻色やオレンジとその補色関 係にある緑や青の色彩は、梅原生来の色彩画家と しての感性を大いに刺激したことであろう。訪れる 者を圧倒するような北京の街のスケールの大きさ、 その大陸的な風情に触れた画家の感動が生き生き と表現されている。 註1）梅原龍三郎『画集北京』求龍堂 1973年 註2）前掲註1

印象派の巨匠として日本でも高い人気を誇るピ エール＝オーギュスト・ルノワール。1841年、ル ノワールはフランス中部リモージュの仕立屋の家に 生まれた。13歳の時に陶磁器の絵付け職人となる が、画家を志し、シャルル・グレールの画塾やパリ 国立美術学校で学ぶ。画塾で出会ったモネやシス レーらとともに戸外での制作を始め、1870年代前 半より印象派独特の筆触分割の技法に本格的に取り 組んだ。その後は古典主義的な「アングル様式」、光 を孕むような柔らかな色彩と筆致による「真珠色の 時代」へと作風を移行。同時代を生きる女性たち、 そして近代都市として発展するパリで市民生活を謳 歌する人々の姿を生涯にわたって生き生きと描いた 画家である。
1908年、ルノワールは南仏カーニュ＝シュル＝ メールに移住し、豊かな自然に囲まれた温暖な土地 で晩年の制作活動を展開した。若い女性の上半身が 捉えられた本作は、この晩年期にあたる1911年に 制作された作品である。飾り気のない素朴な装いの 女性の姿が流れるような自由な筆致で描き出されて いる。ふくよかで、丸みを帯びたヴォリュームのあ る姿態、そして背景などに用いられたオレンジや赤 を基調とする暖かな色彩には、この時期の作風の特 徴が見て取れる。また、女性の肌にも使用された暖 色は、白色のハイライトと相俟ってそのみずみずし く弾むような質感を表すとともに、南仏の明るい陽 光を想像させるようである。ルノワール芸術の円熟 の境地、そして画家が憧れた若い女性の健康的な美 しさと生命感が表現された作と言えよう。

伊藤久三郎
シュルレアリスムや抽象絵画などの多様で個性 的な画境を展開し、先駆的な前衛画家の一人として 独特の存在感を放った伊藤久三郎。その作品は「夢 で見た世界」や「偶然に思いついたアイデア」註1） をもとに、欧米の現代美術に関する豊富な知見を生 かした理知的な画面構成と豊かな詩情によって造形 化されたものである。
1906年、京都市に生まれた伊藤は、京都市立美 術工芸学校予科から京都市立絵画専門学校（現・京 都市立芸術大学）へ進み、10年間にわたり日本画 を学んだ。卒業後は前衛的な油彩画を描くことを志 向し、上京。一九三〇年協会洋画研究所（後の独 立美術協会）に入所し、第16回二科展にフォーヴ ィスムの影響を示した作品を出品し、初入選する。
1933年頃からは少年時代より興味を抱いていたシ ュルレアリスムの夢幻的な作風に転じ、二科会内に 結成された前衛画家たちのグループ、九室会に参加。
吉原治良や山口長男とともに日本の前衛芸術をリー ドする存在となったが、戦時下に前衛的な表現に対 する規制が厳しくなると、会の活動停止を余儀なく された。戦局が悪化した1944年には郷里の京都 に拠点を移し、終戦直後に結成された行動美術協会 に参加する。1949年頃より抽象絵画に取り組み、
1957年には第4回サンパウロ・ビエンナーレに 出品し、抽象表現の世界的な流行の中で活躍した。
1960年代からは絵具を厚く盛り、引っ掻き、穴を 開けるなどの実験的な表現、さらにはイメージを平 面的に構成したグラフィカルな作風を展開し、画業 を通して新しい芸術を追求し続けた。
本オークションの出品作品、LOT.202《作品 N621》とLOT.203《Moraine》は、ますます多 様性に富んだ作風が示された円熟期の作品である。 1962年作のLOT.202は、同年に開催された第 17回行動展の出品作。毛羽立つようなざらついた 赤の絵具と厚く盛り上げられた黒い点の集合により 触覚的なマチエールが形成されている。そのマット な質感の中に散見される艶が生々しさを感じさせ、 赤と黒の深層にあたかも何かが蠢いているかのよう である。
そして、1967年に制作されたLOT.203には、 氷河によって運ばれた岩石、砂などの堆積物を意味 する《Moraine》というタイトルがつけられている。 四角形とそれを囲む枠の構成の中に、綿棒のような 白い線が立体的でリズミカルに表されており、それ らの歪みのあるフォルムとLOT.202同様のざらつ いたマチエールは、伊藤芸術独特のユーモアやあた たかみを感じさせる。「夢で見た世界」註2）を様々 なイメージや記号と結びつけて統一的な絵画空間を 構成するという伊藤の制作過程をうかがわせる作品 である註3）。

昨年は10年ぶりとなるルイ・ヴィトンとのコラボレ ーションで世界各地に自身の巨大人形を出現させ、アジ ア最大級のヴィジュアル・カルチャーミュージアムとし て開館まもない香港のM＋やイギリスの「Manchester International Festival」などで大規模な展覧会を開催し、 95歳となる現在も世界のアート界の最前線を走り続ける前 衛芸術家、草間彌生。
1929年、長野県松本市に生まれた草間は、幼い頃より、 視界が水玉や網目で覆われる幻視や動植物が話しかけてくる 幻聴に悩まされ、その恐怖から逃れるためにそれらのヴィジ ョンを紙に描き留めた。1957年に渡米した後、幻視のヴィ ジョンは「Infinity Nets」（無限の網）シリーズへと昇華され、 ニューヨークの美術界で絶賛された。その後現在に至るまで、 ネットと水玉模様は草間芸術を象徴するイメージとなってい る。
本作が制作された1989年、ニューヨークの国際現代美 術センター（CICA）で回顧展が開催され、この年以降、再
び草間の国際的な評価が高まっていった。この時期の絵画に はフラットなアクリル絵具が使用され、1979年から着手さ れた版画と同様に、具象的なモティーフと、水玉やネットの イメージが組み合わせて表現された。
本作では、真夏の陽光の下、生命を燃やすように咲くひま わりと鮮やかな蛍光色の空間に広がるネットが表されてい る。ひまわりは平面作品だけでなく、インスタレーションな どに繰り返し用いられているモティーフ。草間が種苗業を営 む家に生まれ、採種用の花畑に囲まれて育ったことはよく知 られており、ひまわり畑も身近にあったと考えられる。ひま わりには水玉模様が増殖しているが、特徴的と言えるのは、 学生時代に制作された《玉葱》（1948年作）の背景に用い られ、その後ほとんど描かれてこなかった格子模様とそれを 応用した放射状の模様が表されていることだろう。草間の幻 視から展開したと思われるそれらもまた、作品の平明でポッ プな魅力を演出している。そして、今にも動き出しそうな花 弁や葉と相俟って、ひまわりの体中に横溢する眩しいほどの 生命感を強烈に示すようである。

Shinwa Auction株式会社（以下「当社」という。）が近代美術PartⅡの名 称で行う競売（オークション）は本規約に従い行われる。当社に販売を委託 する者、買い受けの申出（ビッド）をする者、当社との間で売買契約が成立 した者その他関係者はこの規約を承認し、本規約に従わなければならない。
但し、当社との間で別途の合意をした場合は当社とその合意をした者との間 ではその合意が優先する。
第一章 商品（競売対象物品）
（競売対象物品）
第１条 当社は、当社に競売により販売することを委託された物品（以下 この物品を「商品」という｡）を当社の名で競売の方法により売却 する。

第２条 商品は、その性質上ほとんどが新品でなく、古いものであるので、 現状有姿のまま、販売されるものであり、当社は商品のシミ、キズ その他の瑕疵、欠陥について責任を負わない。
当社は、商品が真作であること（贋作または贋造でないこと）に ついて一切の保証をせず、商品に付随する鑑定証書、鑑別書、箱書、 書付、在判等の信憑性及び商品との関連性についても一切の保証を しない。

第３条 当社は、競売の前に下見会を催し、商品を買い受け希望者に対し 展覧に供する。
② 買い受けを希望する者は下見会において商品を見分、調査（必要 があり、当社が承認する場合以外商品に触れることはできない。以 下同じ。）することができるのであり、買い受けの申出をする者は、 商品の状態（瑕疵、欠陥を含む。）、商品が真作であること（贋作ま たは贋造でないこと）、商品に付随する鑑定証書、鑑別書、箱書、 書付、在判等の信憑性及び商品との関連性については自己の判断、 責任において買い受けの申出をしなければならない。
③ 当社は、下見会に入場を希望する者に対し、氏名その他身分を明 らかにすることを求めることができ、身分証明書等の呈示を求める ことがある。当社は、当社の裁量により、理由を告げることなく、 下見会への入場を拒否することができる。
（カタログ）
第４条 当社は、商品について、買い受け希望者の参考に供するため、カ タログを作製し、有料頒布する。
② カタログの図版は、あくまで商品の特定及び参考のためのもので あり、商品の色調、形状などを正確にあらわすものではなく、状態、 品質を示すものでもないのであり、カタログの図版が実物を正確に あらわさないことについて当社は一切その責任を負わない。
③ カタログに記載された解説、説明（作者名、製造者名、題名、種 類、材質、修復、署名、サイズ、制作年度、制作場所、鑑定、鑑別、 箱書、書付、在判、来歴、文献、資料など）は当社が適切と考えら れる注意をもって調査したものであるが、あくまで買い受け希望者 の参考に供するために記載されるものであり、当社はこの記載の誤 り、実物との相違について、一切の責任を負わない。買い受けを希 望する者は、下見会において現物を見分、調査し、解説、説明事項 について、自らの調査、判断、責任に基づいて買い受けの申込みを しなければならない。
④ 当社はカタログに商品の評価額を記載することがある。評価額は 日本円で上限及び下限の２つを記載する（この評価額には当社の手 数料及び手数料に対する消費税は含まれない。）が、この評価額は、 商品の現下の市況その他に基づき当社が適切と考える価格を買い受 け希望者の参考のため記載するものであり、競売により実際に売買 される価格は、競売の性格上当然のことであるが、この評価額に一 切とらわれるものではなく、評価額の上限を超えることもあり、下 限を下回ることもある。但し、第20条第２項の規定により最低売却 価格（公表されず、また、評価額の下限以下とは限らない。）の設 定がある場合、最低売却価格を下回る価格では販売されない。
（カタログ記載の変更） 第５条 カタログ記載の解説、説明は、予告なく変更されることがある。 この変更は、競売の会場における書面による掲示により、または、 競売人が当該商品の競売に着手する直前に口頭によりなされる。変 更がなされた場合は変更された内容により競売がなされたものとみ なす。
第二章 競売
（登録）
第６条 競売の会場に入場し、買い受けの申出をすることができる者にな ることを希望する者は、予め、当社に対し、住所及び氏名（法人と して買い受けの申出を希望する者は、法人名及び代表者名。代理人 または使者（法人のために買い受けの申出をする者を含む。以下同 じ。）が入場する場合は本人の住所、氏名及び代理人、使者の住所、 氏名）を登録し、代理人または使者の場合は本人の委任状を提出し なければならない（但し、代理人または使者の場合は第８条第５項 の定めるところによる。）。登録は、予め当社に対してなされるもの とする。
② 当社は、登録希望者に対し、身分証明書の呈示等を求めることが ある。
③ 当社は、当社の裁量により、理由を述べることなく、登録希望者 の登録を拒否し、または、登録済の者でも競売の会場への入場を拒 否することができる。
④ 予め登録した者は競売の当日受付にて確認を受けなければならな い。
（パドル） 第７条 当社は登録した者に対し、競売の日の当日、競売の会場の受付に おいて、パドル（番号を記載した札）を交付する。
② パドルの番号は、競売人が買い受けの申出をした者を特定するた めに用いられるものであり、競売人が買い受けの申出をした者に対 し、パドルを掲げて見やすくするよう求めたときは直ちにその指示 に従わなければならない。
③ 買い受けの申出をする者は、自らのパドルの番号を常時認識し、 競売人が随時述べるパドル番号に注意を払わなければならない。
④ パドルの交付を受けた者は、パドルを紛失したときは直ちに競売 の会場の当社係員に通知しなければならず、また、競売終了時また は途中退場時にはパドルを当社に返還しなければならない。
（競売の方法） 第８条 競売は、当社が指定する競売人の主宰の下で、次項以下に定める ところにより、買い受けの申出の額を競り上げさせることにより行 う。なお、競売における買い受けの申出の額は、当社の手数料及び 手数料に対する消費税を含まない価額で行われるものとし、買い受 けの申出をする者は、売買成立の際は第12条の定めるところにより 当社に対する手数料及び手数料に対する消費税をあわせ支払うべき ことを予め承認する。
② 当社は、販売委託者の同意がある場合を除き、販売委託者名を公 表せず、また第20条第２項の規定により最低売却価格の設定がある 場合、最低売却価格を公表しない。
③ 競売は、カタログに記載した商品の番号（ロット番号）の順に行 われるが、当社は予めの通知なく、予定した商品（ロット）の競売 を撤回することがあり、または、同一の番号の複数の商品を分割し て競売に付したり、複数の番号の商品を一括して競売に付すことが ある。
④ 競売は競売人の裁量の下に行われるものとし、競りの第一声（オー プニングビッド。発句）は競売人がその裁量により行い、競り上げ の値巾も競売人がその裁量により決定する。（第20条第２項に規定 する最低売却価格の設定がある場合、競りの第一声はこれに拘束さ れず、最低売却価格を下回る額である場合もあり、上回る額である 場合もある。）
⑤ 買い受けの申出をする者は、予め当社に対し別の者の代理人また は使者として買い受けの申出をする旨通知し当社がその旨を承認し た場合を除き、本人として買い受けの申出をしたものとみなす。な お、複数の者が共同の名義により一の買い受けの申出をすることは できない。
⑥ 買い受けの申出は、パドルを掲げること、ジェスチャー（身振り、 手振り、顔つき等）等により行われる。買い受けの申出をした者は、
自らの買い受けの申出が競売人に認識されていないと判断したとき は直ちに競売人の注意をひくべき行動をしなければならない。
⑦ 買い受けの申出は、買い受けの申出人が競売の会場において直接 行うほか、書面等により行うことができる。書面等による買い受け の申出は第10条の規定に従い行われるものとする。
⑧ 第20条第２項の規定により最低売却価格の設定がある場合、当社 は、最低売却価格を守るため、最低売却価格を超えるまで、販売委 託者のため、買い受けの申出をするものとし、この買い受けの申出 の方法は競売人を通して行う方法その他当社の裁量による方法によ り行われる。
⑨ 競売人はあらゆる買い受けの申出に対し、理由を告げず、これを 拒否する自由を有する。
⑩ 買い受けの申出をした者は、より高額の買い受けの申出（第８項 の当社の買い受けの申出を含む。）があるまで、申出の額に拘束され、 そのより高額の買い受けの申出があったとき当該買い受けの申出は 失効する。但し、そのより高額の買い受けの申出が競売人に拒否さ れる等して無効な場合は当該買い受けの申出は失効せず、申出の額 の拘束は維持される。
⑪ 買い受けの申出は、前項に規定する場合のほか、競売人がこれを 拒否したとき、第20条第２項の規定により最低売却価格の設定があ る場合であって最低売却価格に達せず競売が終了したときまたは競 売人が再競売に付したときは効力を失う。
⑫ 競売人は、買い受けの申出の額のうち、競売人が認識し得た最高 額のものを２回以上呼び上げた後ハンマーを打ち、ハンマーを打っ た時点でその最高額の買い受けの申出をした者を買い受け人として、 当社との間で当該価額を売買代金とする売買契約が成立する。以下、 以上により買い受け人と決定した者を「落札者」といい、当該価額 を「落札価額」という。
⑬ 最高額の買い受けの申出をした者が、競売人がハンマーを打つ以 前にその申出を翻した（撤回した）場合、競売人は、それにもかか わらず当該最高額の買い受けの申出をした者を買い受け人（落札者） として決定することができ、または、競売人の裁量により、次順位 の買い受けの申出をした者を買い受け人（落札者）として決定する ことができる。
⑭ 競売に関する紛争、紛議は競売人がその裁量により裁定するもの とし、関係者は全て競売人の裁定に従わなければならない。競売人 は、紛争、紛議がある場合、その裁量により、買い受けの申出を拒 否し、最高額買い受け人を決定し、競売を続行して新たな買い受け の申出を受け、または、当該商品に係る従前の買い受けの申出の全 てを無効とし再競売に付すことができる。
⑮ 落札者が決定し、競売人が次の商品の競売に着手した後は何人も 競売について異議を述べることができない。
（落札確認書）
第９条 落札者は、売買成立後直ちに、競売の会場において、当社の求め に応じ、商品番号、落札価額を記載した落札確認書に商品番号、落 札価額を確認のうえ、署名または記名押印しなければならない。落 札者が法人の場合は法人名を記載した上、代理人または使者が署名 または記名押印をしなければならない。但し、売買は競売人がハン マーを打った時点で成立しており、落札確認書は記録のためのもの である。
② 落札者が前項の署名または記名押印を直ちにしないときは、競売 人は、その裁量により、その場で売買契約を解除し、当該商品を再 競売に付すことができる。第18条第１項第４号の規定はこの場合に 準用する。
③ 当社は落札者が落札確認書に署名または記名押印した後、作品引 取書を落札者に交付する。落札者は商品引取りの際、当該作品引取 書を当社に交付しなければならない。なお、作品引取書は免責証券 にすぎず、それ以上の意味を持つものではない。以下、第10条にお ける作品引取書も同様である。
（書面等による買い受けの申出（オーダービッド））
第10条 買い受けの申出は、予め書面、ファックスまたは当社所定のイン ターネットシステム（以下「書面等」という。）により行うことが できる。
② 書面等による買い受けの申出は、競売の日の２営業日より前に、 当社宛、住所、氏名（法人の場合は法人名、代表者名）、商品番号、 買い受けの申出の最高限度額（当社の手数料及び手数料に対する消 費税を含まない額。以下同じ。）を明記し、かつ、署名または記名
押印したうえ申し出るものとする。なお、買い受けの申出の最高限 度額の記載のない申出は当然に無効とする。
③ 当社は、書面等による買い受けの申出人のため、買い受けの申出 をするものとし、その方法は、競売人を通して行うほか当社の裁量 による方法により行われる。
④ 書面等による買い受けの申出をした者は、その買い受けの申出の 最高限度額が他の買い受けの申出の額の最高のものより高い場合 （第20条第２項の規定により最低売却価格の設定がある場合には、 他の買い受けの申出の額の最高のもの及び最低売却価格の双方より 高い場合）に、他の買い受けの申出の額の最高のもの（第20条第２ 項の規定により最低売却価格の設定がある場合には、他の買い受け の申出の額の最高のものまたは最低売却価格のいずれか高いもの） に競売人が適当と判断する値巾の金額を加えた価額を落札価額とし て、落札者となることができる。この場合、落札者の決定は、競売 の会場における買い受けの申出の場合と同様に、競売の会場におい て競売人が最高額買い受け人と定めハンマーを打つことにより売買 契約が成立する。
⑤ 同一の商品に対し、同一の額を買い受けの申出の最高限度額とす る複数の書面等による買い受けの申出があった場合は、先に当社に 到着したものが優先する。なお、同時に到着した場合で前項により 落札者となることができる場合は、後日抽選により決定する。
⑥ 当社は、書面等による買い受けの申出に対し、理由を告げずこれ を拒否することができる。当社の拒否の意思表示が書面等による買 い受けの申出人に到達しなかった場合、当社は当社の故意または重 大な過失によるものである場合以外そのことによる責任は一切負わ ない。
⑦ 手違いその他の理由を問わず、書面等による買い受けの申出が競 売において執行されなかった場合（第８条第３項の場合であって当 社が当該書面等による買い受けの申出を執行しなかったときを含 む。）、当社は、当社の重大な過失によるものである場合以外そのこ とに関し一切の責任を負わない。
⑧ 第５条に規定するカタログ記載の解説、説明が変更された場合、 書面等による買い受けの申出は変更された解説、説明に従って行わ れたものとみなす。当社はできるだけ当該変更を通知する努力をす るが、当該変更が予め書面等による買い受けの申出をした者に伝達 されなかった場合そのことについて当社は当社の故意または重大な 過失によるものである場合以外一切の責任を負わない。
⑨ 書面等による買い受けの申出人が落札者となった場合、当社は速 やかにその旨同人に通知し、落札者は、その通知があった後直ちに、 商品番号、落札価額、住所、氏名（法人の場合は法人名、代表者名） を明記した落札確認書を、商品番号、落札価額を確認したうえ、署 名または記名押印して当社に交付しなければならない。但し、売買 は競売人がハンマーを打った時点で成立しており、落札確認書は記 録のためのものである。その後、当社は作品引取書を交付する。落 札者は商品引取りの際、作品引取書を当社に交付しなければならな い。
⑩ 本条において、消費者契約法第８条ないし第10条に該当する場合 には、本条に優先して消費者契約法の定めを本規約第27条に従い適 用するものとする。
（電話およびライブビッディングシステム による買い受けの申出）
第11条 買い受けの申出は、会場に架設した電話およびインターネットを 通して行うことができる。
② 電話による買い受けの申出をしようとする者は、予め当社に申し 込み、当社の指示に従わなければならない。この場合第10条第６項 を準用する。
③ 電話による買い受けの申出をしたい旨の申し込みがあり、当社が 承諾した場合でも、電話の取り次ぎの手違いその他の理由により、 電話による買い受けの申出が競売において執行されなかった場合、 当社は当社の故意または重大な過失によるものである場合以外その ことによる責任は一切負わない。
④ 電話による買い受けの申出人が落札者となったときは、落札者は 直ちに、商品番号、落札価額、住所、氏名（法人の場合は法人名、 代表者名）を明記した落札確認書を、商品番号、落札価額を確認し たうえ、署名または記名押印して当社に交付しなければならない。 但し、売買はハンマーを打った時点で成立しており、落札確認書は その記録のためのものである。その後、当社は落札者に対し、作品 引取書を交付する。落札者は商品引取りの際、作品引取書を当社に 交付しなければならない。
⑤ ライブビッディングシステムによる買い受けの申出をしようとす る者は、本規約に加え、当社ウェブサイトに掲載する「ライブビッ ディングシステム規約」を遵守しなければならない。
⑥ 本条において、消費者契約法第８条ないし第10条に該当する場合 には、本条に優先して消費者契約法の定めを本規約第27条に従い適 用するものとする。
第三章 落札者
（購入代金）
第12条 落札者は、当社に対し、売買代金（落札価額）のほかに、これに 加えて、当社の手数料及び当社の手数料に対する消費税として、次 の号の定めに従い計算された金額の合計額相当の金員を支払わなけ ればならない。以下、売買代金（落札価額）ならびに当社の手数料 及び当社の手数料に対する消費税を「購入代金」という。
⑴ 落札価額に対する16.5パーセント相当額（消費税を含む）
（購入代金の支払期限）
第13条 落札者は、当社に対し、購入代金全額を競売の日から10日以内 （但し、土曜日、日曜日及び国民の祝日に関する法律に規定する休 日を除く。以下この期間を「支払期間」という。なお、この期間内 の各日は、当社の営業時間内に限る。以下同じ。）に、日本円により、 銀行小切手または下記銀行口座に対する振込送金により（支払期間 内に送金が到達することを要する。）支払わなければならない。

（引渡し）
第14条 当社は、落札者が購入代金の支払いを完了した後、商品を落札者 に引渡す。但し、落札者が購入代金のほかに、当社に対し履行期に 達している他の債務（第16条第３項に規定する諸費用を含む。）を 負担している場合は、購入代金及びその債務の全てを履行するまで、 当社は商品の引渡しをしない。以下、購入代金及び履行期に達して いる当社に対する全ての債務を「購入代金等」という。
② 落札者は購入代金等を完済した後、支払期間内に商品を引き取ら なければならない。
③ 商品の引渡しの場所は当社とし、引取り費用は落札者の負担とし、 当社は引渡し時点（当社内において、当社が落札者、その代理人も しくは使者または運送業者に引渡した時点をいう。以下同じ。）以 降の事故（滅失、紛失、盗難、毀損、汚損）について当社の故意ま たは重大な過失によるものである場合以外一切の責任を負わない。 落札者の求めにより、当社が運送業者を斡旋した場合、斡旋は全く 当社の好意によるものであり、落札者は自ら保険を付すなどするべ きものとし、当社は引渡し時点以降の事故（滅失、紛失、盗難、毀 損、汚損）については運送業者選定の当非も含め当社の故意または 重大な過失によるものである場合以外一切の責任を負わない。なお、 落札者は自らの判断と責任、負担において、自らが適当と考える梱 包をしなければならない。当社は引渡しの際梱包をすることがある が、当社が好意により適当と考える梱包をするのみであり、当社の 行った梱包について、当社は当社の故意または重大な過失によるも のである場合以外一切その責任を負わない。
④ 落札者は、引取りに当たり、商品を検品することができ、落札者 が現実に検品したか否かを問わず、当社が商品を落札者（代理人、 使者、運送業者を含む。）に引渡したときは、当社に故意または重 大な過失がある場合を除き、落札者は、当社に対し、引渡し時点以 降は、商品違い及び引渡し時点以前の商品の毀損、汚損の主張なら びに商品違い、毀損、汚損を原因とする契約解除、その他一切の請 求を当社に対してすることができない。但し、当社が誤って別の商 品を引渡した場合、その返還を求めることを妨げるものではない。 ⑤ 落札者は商品の引取りに当たり、当社に対し作品引取書を交付し なければならない。当社が作品引取書の交付を受けた場合は、万一 落札者以外の者が商品を引取るなどの事故があっても当社は当社の 故意または重大な過失によるものである場合以外一切その責任を負 わない。
⑥ 本条において、消費者契約法第８条ないし第10条に該当する場合 には、本条に優先して消費者契約法の定めを本規約第27条に従い適 用するものとする。
（危険負担及び所有権の移転） 第15条 落札者は売買成立の時（競売人が最高額買い受け人としてハン マーを打った時点）以降、商品の危険を負担する（当社の責に帰す べからざる事由による滅失、紛失、盗難、毀損、汚損は落札者の負 担とする。）。
② 落札者が購入代金等の支払いを完了し、かつ、当社が商品を落札 者に引渡すまでは商品の所有権は落札者に移転せず、落札者が購入 代金等を完済した後、当社が商品を落札者に引渡した時点で当該商 品の所有権は落札者に移転する。
（諸費用）
第16条 落札者は支払期間内（支払期間終了以前に当社が引渡しをしたと きは引渡しの時までに限る。）は、保管及び保険に要する費用を支 払うことを要しないものとする。
② 落札者が支払期間内に商品の引取りができないときは、支払期間 終了後引取りの時までの保管及び保険に要する費用を支払わなけれ ばならない。但し、保険を付すことは当社の義務ではない。
③ 落札者が負担すべき保管及び保険に要する費用を「諸費用」とい う。
（盗品、遺失物）
第17条 当社が落札者に商品の引渡しをする以前に、商品について、盗品、 遺失物として真正な所有者と主張する者から返還請求があった場合 または法律の定めによる売買禁止物（所持の禁止を含む。）である ことが判明した場合、当社は無催告で売買契約を解除することがで きる。この場合、当社は落札者から購入代金の支払いを受けている ときはこれを無利息で返還するものとし、落札者は当社に対し、損 害賠償その他の請求をすることができない。
② 警察本部長等が古物営業法第21条の規定により当社に対し保管を 命じ、その保管の期間の終了日が競売の日の翌日から10日目を越え るときは、その保管の期間の終了まで当社は商品の引渡しをせず、 第13条の適用に当たっては、第13条の「競売の日から10日以内」と あるのは「警察本部長等が保管を命じた期間の終了日から３日以内」 と読み替えて適用するものとし、第14条、第16条及び第18条の適用 に当たっては、同３条の「支払期間」を以上により読み替えた期間 として適用する。なお、この理由により引渡しが遅滞しても当社は その遅滞に起因する結果について一切その責任を負わない。
（落札者の債務不履行）
第18条 落札者が支払期間内に購入代金等の全額を支払わないときは、次 の各号の定めに従う。
⑴ 落札者は、支払期間終了日の翌日から購入代金等（諸費用を含 む。）の支払済みに至るまで（第３号により契約が解除された場 合は解除の日まで）、購入代金（消費税分を除く。）の未払残金に ついて年18パーセント（消費者契約法が適用される場合には、年 14.6パーセント）の割合による遅延損害金を支払わなければなら ない。
⑵ 支払期間終了後の商品の保管は、当社の裁量により、当社が適 当と認めた方法で保管するものとし、落札者の引取り以前に商品 が滅失、紛失、盗難、毀損、汚損した場合、当社は当社の故意ま たは重大な過失によるものである場合以外、一切その責任を負わ ないものとし、落札者は購入代金等の支払いの義務を免れない。 当社は、この間、当該商品に保険を付す義務を負わない。
⑶ 当社が落札者に購入代金等の支払いを催告しても支払わない場 合、当社は売買契約を解除することができる。但し、当社に登録 または通知のあった落札者の住所に送付した催告状が受取人不在、 不明で返送された場合、または、落札者が催告状の受取りを拒否 した場合は、催告状が落札者に到達しなくても解除することがで き、この場合、当社が当社に登録または通知のあった落札者の住 所に解除通知を発送した時点で売買契約は解除されたものとみな すものとし、落札者は予めこれを承認する。
⑷ 売買契約が前号により解除された場合、当社は商品を最低売却 価格を設定することなく競売または随意契約により第三者に売却 することができる。この場合、この競売または随意契約による売 買代金ならびに第12条に定める当社の手数料及び当社の手数料に
対する消費税相当額の合計額が購入代金を下回る場合は落札者は 当社に対しその差額及びその差額に対する、この競売または随意 契約の日から支払い済に至るまで年18パーセント（消費者契約法 が適用される場合には、年14.6パーセント）の割合による遅延損 害金を支払わなければならない。逆に上回った場合は、その差額 について落札者には一切請求する権利はない。
⑸ 売買契約が第３号により解除された場合であって、当社との協 議の結果、販売委託者が商品の返却を希望した場合には、当社は、 前号の定めによらずに、商品を販売委託者に返却することができ る。この場合、落札者は、当社に対し、この競売により落札者が 当社に支払うべき第12条に定める当社の手数料相当額及び当社の 手数料相当額に対する、この競売の日から支払い済に至るまで年 18パーセント（消費者契約法が適用される場合には、年14.6パー セント）の割合による遅延損害金を支払わなければならない。
② 本条において、消費者契約法第８条ないし第10条に該当する場合 には、本条に優先して消費者契約法の定めを本規約第27条に従い適 用するものとする。
第四章 販売委託
（販売委託）
第19条 当社に当社の名で競売により商品を販売することを委託しようと する者は、本規約及び当社が別に定める近代美術PartⅡに係る販売 委託に関する約定に従い、販売の委託を申し込むものとする。
② 販売委託者は当社に対し、販売委託に係る商品について完全な所 有権を有することまたは完全な所有権に基づき販売委託をすること ができる権限を有することを保証する。
（最低売却価格）
第20条 商品は、最低売却価格（リザーヴ。当社の手数料及び手数料に対 する消費税を含まない額）を設定せず、いわゆる成り行きでの競売 の方法により売却する。
② 前項の取扱に関わらず、当社は、以下の各号の規定に従い、最低 売却価格を設定することができる。
⑴ 最低売却価格は日本円によるものとする。
⑵ 最低売却価格は、当社と売り手との間の書面による合意により 定める。但し、最低売却価格は評価額の上限を超えることができ ない。
⑶ 当社は、最低売却価格を設定した場合は、最低売却価格を下ま わる価額では商品を売却しない。
⑷ 当社は、売り手との間の書面による合意により、一旦設定され た最低売却価格を変更し、または、最低売却価格の設定を取り消 すことができる。
（氏名の不公表）
第21条 当社は、販売委託者の同意のない限り、競売またはカタログにお いて販売委託者の名前を公表しないものとする。
第五章 雑則
（規約の変更）
第22条 当社は本規約を変更することができるものとし、この変更は、競 売人が競売の日における最初の商品の競売に着手する直前に口頭で 述べることによって行い、その変更はその時から効力を発する。
（債権の譲渡等の禁止）
第23条 本規約に基づく当社に対する権利、地位は、譲渡することができ ず、及び担保に供することはできない。
（責任の範囲）
第24条 当社は、本規約に当社が責任を負わないことが定められている場 合は、いかなる理由があっても、損害賠償の義務を負わない。
② 当社は、損害が天災、地変、戦争、変乱、核燃料物質、争議行為 に起因する場合は、一切の損害賠償の義務を負わない。
③ 当社が落札者に対し商品の保管の義務を負う場合であって前各項 に規定する場合以外の場合に、当社の軽微な過失により、商品が滅 失、紛失、盗難、毀損、汚損した場合は落札者との関係においては 次の規定に従う。
⑵ 商品が重大でない毀損、汚損をした場合、当社は落札者に対し、 売買価格（落札価額）に対する毀損、汚損にみあう損害額の割合 の分だけ売買代金を減額するものとする。
⑶ 毀損、汚損については、落札者が立証責任を負う。
⑷ 当社は、額縁、ガラス、表装、箱、ケース等については、当社 の故意または重大な過失によるものである場合以外、一切の保管 の責任を負わず、滅失、紛失、盗難、毀損、汚損の責任を負わな い。
⑸ 本項により、当社が支払う損害賠償の額は、当社が損害保険会 社と締結する損害保険契約に基づき支払われる保険金をもってこ れに充てる。
④ 当社は、前各項に規定する場合以外の場合については、故意また は重大な過失がある場合以外は、一切損害賠償の責に任ぜず、故意 または重大な過失がある場合においても損害賠償の範囲は通常の損 害のほか故意または重大な過失があった時点において予見可能で あった損害賠償の範囲に限られる。
（資格制限） 第25条 当社は、以下の事由に該当する者に対して一切の取引に応じない ものとし、また、以下の事由に該当する者であると判明した時点以 降は、一切の取引を行わない。
⑴ 暴力団、暴力団員、暴力団準構成員、暴力団員でなくなった日 から５年を経過しない者、暴力団関係企業、総会屋等、社会運動 等標榜ゴロ及び政治活動標榜ゴロまたは特殊知能暴力団等、その 他これらに準ずる者、マネーロンダリング等の行為を目的とする 者、違法・不当な方法、暴力的威力、詐欺的手法を駆使して資金 獲得活動を行う者及び勢力またはその関係者（以下、これらを「反 社会的勢力等」という。）
⑵ 反社会的勢力等を同伴してオークションに参加する者または紹 介により反社会的勢力等をオークションに参加させようとする者 ⑶ 役員のうちに反社会的勢力等に属する者がいる法人 ⑷ 当社との取引に関して脅迫的な言動をし、または暴力を用いる 者 ⑸ 風説を流布し、偽計を用いまたは威力を用いて当社の信用を毀 損し、または当社の業務を妨害する行為等をする者 ⑹ オークション規約等当社の定める規定に従わない者 ② 当社は、前項各号に掲げる他これらに類するやむを得ない事由が あると判断した場合には、当該事由に該当する者との取引を中止す ることができ、以後の取引を拒否することができる。
⑴ 商品が滅失、紛失、盗難及び重大な毀損、汚損をした場合は、 当社と落札者との間の売買契約は当然に解除され、落札者は購入 代金の支払を免れ、当社は購入代金を既に受領している場合はこ れを無利息で返還する。
（準拠法） 第26条 本規約は、日本法を準拠法とし、日本法により解釈されるものと し、本規約に定めがないことについては日本法によるものとする。 （消費者契約法） 第27条 本規約と消費者契約法の間では、消費者契約法が優先する。本規 約の運用上、消費者契約法の適用が認められる場合には、当社は、 民法その他の法令に従い本規約を読み替えて適用するものとする。 （合意管轄） 第28条 本規約に関する紛争は全て、日本国の東京地方裁判所及び東京簡 易裁判所を専属の合意管轄裁判所とする。
時計に関する特約（LOT.208に適用）
商品に関して、当社はその一切の保証をしない。当社は買い受けの申し出 をする者の為に下見の機会を提供するが、買受けの申し出をする者は、自己 の判断と責任において買受けの申し出をするものとする。カタログに記載さ れている解説、説明（製造社名、商品名、材質、サイズ、重量、動作、製作 （製造）年度、製作（製造）場所、製造番号、オリジナルケース（純正箱）、 説明書、保証書、資料、使用状況等）は、あくまで、当社の好意により買い 受けの申し出をする者の為に参考に供するものであり、これら表記に関する 瑕疵、欠陥について当社は一切の責任を負わない。また、当社は商品の真性 および動作に関する瑕疵、欠陥（競売当時において時計としての機能を既に 有さず、骨董的価値において時計と称するもの及び競売当時において当社が 動作不良の可能性があることを予め発表しているものにかぎる）について一 切責任を負わず、隠れたる瑕疵についても担保責任を負わない。また、当社 が落札者に対し商品の保管の義務を負う場合であっても、当社は、チェーン、 ブレス、ベルト、ガラス、箱、オリジナルケース（純正箱）、その他付属品 については、原因の如何を問わず、一切の保管の責任を負わず、滅失、紛失、 盗難、毀損、汚損の責任を負わない。落札者は、当社に対し、如何なる場合 においても商品の返品および代金の返還を請求することが出来ず、且つ、直 接、間接を問わず一切の損害賠償を請求することが出来ない。なお、時計に 関しては、当社は近代美術PartⅡオークション規約第14条３項に定める運送 会社の斡旋は行わないものとする。
購入代金の支払いに関する特約
① 落札者は、第12条の定めに従い、当社に対し購入代金を支払う際の支払 通貨を、日本円に替えてビットコインとすることができる。
② ビットコインにより購入代金の支払いを希望する落札者は、支払希望日 の前日までに当社に対し、購入代金をビットコインにより支払うことを希 望する旨を通知しなければならない。以下、当社に対し、ビットコインに よる購入代金の支払いを希望する旨当社に通知した者を「ビットコイン支 払希望者」という。
③ 当社は、ビットコイン支払希望者に対し、購入代金支払希望日の当日、 日本円からビットコインへの換算レート（以下「換算レート」という。） 及び購入代金総額を通知する。この場合、換算レートは、購入代金支払希 望日当日の仮想通貨取引所の換算レートをもとに当社が決定するものとす る。
④ 換算レートの有効期限は購入代金支払希望日当日の当社が指定した時間 までとし、ビットコイン支払希望者は、当社に対し、予め当社が指定する 当社口座宛の送金により（当日中の当社が指定した時間までに送金が到達 することを要する。）支払い、且つ、送金記録を当社に送らなければなら ない。
⑤ 購入代金支払希望日当日の当社が指定した時間までに、ビットコイン支 払希望者から購入代金が支払われない場合、当社がビットコイン支払希望 者に通知した換算レートは無効とし、引き続き落札者が、ビットコインに より購入代金の支払いを希望する場合には、改めて当社に通知し、換算レー ト及び購入代金総額の通知を受けなければならない。
TERMS AND CONDITIONS OF AUCTION
(Date Revised: August 1, 2022)
Any "Modern Art PartⅡ Auction" carried out by SHINWA AUCTION CO., LTD. (hereinafter referred to as "the Company") shall be conducted in accordance with Terms and Conditions of Modern Art PartⅡ (hereinafter referred to as "The Terms and Conditions"). All concerned parties-including any person who consigns objects of art for sale to the Company, places a bid, or concludes a contract of sale with the Company shall agree to and comply with The Terms and Conditions, except where a separate agreement with the Company has been concluded in which case that agreement shall govern.
SectionⅠ LOTS (Objects of Art Subject to Auction)
(Objects of Art Subject to Auction)
Article 1. The Company shall auction an object of art consigned to it for sale by auction (such object of art shall hereinafter be referred to as "the Lot") in the Company's own name.
(Condition of Lot)
Article 2. On the grounds that the Lot will usually be by its very nature old and is to be sold on an "as is" basis, the Company shall in no way be responsible for stains, scratches, or any other defects of the Lot, or for any latent defect of the Lot. The Company offers no guarantee whatsoever concerning the true characteristics of the Lot, including but not limited to such matters as certificate, identification, original case, calligraphy, signature, seal, explanatory leaflets, and any guarantee that may be said to be connected to the Lot.
(Preview)
Article 3. The Company shall arrange a preview of the Lot for prospective bidders before the auction.
②Prospective bidders may inspect and examine the Lot at the preview (but shall not be permitted to touch the Lot except when necessary and with the Company's consent. The same shall apply hereinafter). Any person who places a bid does so at his own judgment and responsibility, having due consideration for the condition of the Lot (including any defects) and the true characteristics including but not limited to such matters as certificate, identification, original case, calligraphy, sign, seal, explanatory leaflets, and any guarantee that may be said to be connected to the Lot and the limitations described in Articles 2 and 4 of these Terms and Conditions.
③The Company may ask any person desiring admittance to the preview to present proof of identity, and may, at its discretion and without explanation, refuse admittance thereto.
(Catalogues)
Article 4. The Company shall prepare catalogues providing information on Lots and distribute the same to prospective buyers at a price.
②Illustrations contained in the catalogues are intended solely for the purpose of identification and reference, and may not be taken to accurately represent the color or shape of the Lot nor to indicate the conditions or qualities thereof. The Company shall in no way be responsible for any discrepancy between the illustrations contained in the catalogues and the actual objects.
③The descriptions and comments that appear in the catalogues (such as but not limited to artist, manufacturer's name, title, kind, material, restorations, signature, size, time and place of production, expert opinion, certificate, identification, original case, calligraphy, signature, seal, provenance, bibliography, archive) are compiled by the
Company with due care and attention. Nevertheless, these descriptions and comments appear solely for the reference of prospective bidders, the Company shall in no way be responsible for any errors in the statements made or any discrepancies between the catalogue descriptions and the actual object. Prospective bidders shall inspect and examine the actual objects at the above-mentioned preview and shall place a bid at their own examination and on their own responsibility, having formed their own judgment with respect to the matters contained in the descriptions and comments.
④The Company may publish the appraised value of the Lot in its catalogues. The appraised value is given as the range between a high and low figure designated in yen (and does not include the buyer's premium and consumption tax thereon.) The appraised value shall appear solely for the reference of prospective bidders based on what the Company considers appropriate, taking factors such as present market conditions into account. In view of the very nature of an auction, the actual sales price shall in no way be determined by the appraised value. Therefore, the actual price may be either more or less than the appraised value. Any reserve price, as provided for in Paragraph 2 of Article 20 shall be confidential and need not be less than the appraised value, no sale shall be made at a price below the reserve price.
(Changes to Catalogue Entries)
Article 5. Descriptions and comments in the catalogues are subject to change without notice. Any change shall be posted in writing at the auction site or announced orally by the auctioneer immediately before the auction of the Lot in question. In the case of any changes, the auction shall be regarded as having been conducted according to the terms as changed.
SectionⅡ AUCTION PROCEDURES
(Bidder Registration)
Article 6. Any person who wishes to be admitted to the auction site and to place a bid must register his name (in the case of a corporation, the names of the corporation and its representative) and address. If he acts as an agent or messenger for a principal (including a person who places a bid for a corporation, the same shall apply hereafter), he must register the name and address of his principal and his own name and address. Any agent or messenger shall submit a proxy from the principal (Paragraph 5 of Article 8 below shall be applied for an agent or a messenger). Registration shall be conducted prior to the date of auction.
②The Company may from time to time request appropriate identification from persons who wish to register.
③The Company may, at its discretion and without explanation, refuse to allow any person to register or refuse to admit any person to the auction site, including persons who have completed registration.
④Persons who have registered in advance shall obtain confirmation of their registration at the reception desk on the day of the auction.
(Bidding Paddles)
Article 7. The Company shall distribute numbered paddles to registered persons at the reception desk on the day of the auction.
②The numbers on the paddles allow the auctioneer to identify individual bidders. If the auctioneer asks a bidder
to make his paddle easily visible, the bidder shall comply with the auctioneer's instruction.
③A bidder shall at all times remember his paddle number and pay attention to the numbers which the auctioneer calls from time to time.
④Any person who has received, but subsequently misplaced his paddle shall immediately inform the clerk in charge of the particular auction site. Furthermore, any person who has received a paddle shall return it when the auction is closed or anytime he leaves the auction site.
(Method of Auction)
Article 8. The auction shall be presided over by an auctioneer appointed by the Company and conducted as a series of progressively higher bids in the manner described below. The bid price shall not include the buyer's premium and the consumption tax thereon. In addition to the bid price, a bidder agrees to pay to the Company upon the conclusion of any sale the premium and consumption tax thereon, as prescribed in Article 12.
②The Company shall not announce the name of a consignor or the reserve price if the reserve price has been placed according to Paragraph 2 of Article 20, except where the consignor's consent has been obtained.
③The auction shall progress in sequence following the numbers of the Lot ("Lot Number") in the catalogue. However, the Company may withdraw a scheduled Lot from the auction without prior notice, or auction separately a number of Lots originally listed under the same Lot Number, or auction altogether Lots originally listed under several Lot Number.
④The auctioneer shall have discretion in the conduct of the auction and shall be completely free to set the opening bid and the increment of each successive bid. (Where the reserve price has been placed according to Paragraph 2 of Article 20, the opening bid shall be set regardless of the reserve price and may fall below or exceed it.)
⑤Every bidder shall be deemed to act as principal unless he has notified the Company that he acts as an agent or messenger for another party for which the Company has given approval. Furthermore, two or more persons shall not be permitted to bid under a joint name.
⑥Bids can be made by raising a paddle or by gesture (such as signs, gestures, nodding of the head). If the auctioneer appears to have overlooked a bid, the bidder shall immediately attempt to get his attention.
⑦Bids may be placed in writing as well as by personal attendance at the auction. Bids in writing shall be subject to Article 10.
⑧If a reserve price has been placed, as provided for in Paragraph 2 of Article 20, the Company shall, in order to attain the reserve price, bid on behalf of the consignor until a bid from another bidder reaches or exceeds the reserve price. It may do so either through the auctioneer or in any other manner the Company may deem appropriate at its discretion.
⑨The auctioneer may, at his discretion, refuse any bid without explanation.
⑩ Any person who has placed a bid shall be bound by that bid until a higher one is placed (including a bid by the Company as referred to in Paragraph 8). If a higher bid is placed, the previous bid shall become null and void, except if the higher bid shall be invalidated due to a refusal by the auctioneer or other circumstances in which case the previous bid shall remain binding.
⑪A bid shall also become null and void if it is refused by the auctioneer, or if the auction closes without reaching the
reserve price, as provided for in Paragraph 2 of Article 20, or if the relevant Lot is put up for re-auction by the auctioneer.
⑫When the auctioneer calls the highest bid price, which he has recognized from among the bid prices, two times and lets the hammer fall, a contract of sale for the highest bid price shall take effect between the Company and the highest bidder, who shall then become the purchaser. A bidder who has become a purchaser as above shall be hereinafter referred to as "the successful bidder" and the price shall be hereinafter referred to as "hammer price".
⑬If the highest bidder wishes to withdraw his bid before the hammer falls, the decision whether the highest bidder or the next highest bidder shall become the purchaser is at the discretion of the auctioneer.
⑭Any question or dispute concerning the auction shall be settled by the auctioneer at his discretion, and all parties involved shall abide by his decision. Where a question or dispute arises, the auctioneer at his discretion, may: refuse a bid, decide the highest bidder, continue the auction and accept further bids, or declare all previous bids on the Lot in question null and void and put the Lot up for re-auction.
⑮No one shall be permitted to make any protest once the successful bidder has been decided and the auctioneer has begun the auction of the next Lot.
(Written Confirmation of Bid)
Article 9. At the auction site immediately after the conclusion of the sale, the successful bidder shall, after confirming the Lot Number and the hammer price described in the confirmation of bid, affix his signature or seal to the confirmation of bid upon the demand of the Company. If the bidder is a corporation, the person acting as the agent or messenger of the corporation shall state the name of the corporation and affix his signature or seal. Provided, however, that any sale shall be concluded at the time of the fall of the auctioneer's hammer and that the confirmation of bid shall be made solely for record purposes.
②If the successful bidder fails to affix his signature or seal to the confirmation of bid immediately in accordance with the preceding Paragraph, the auctioneer may, at his discretion, rescind the sale forthwith and place the Lot in question up for re-auction. In such case Paragraph 1 (4) of Article 18, shall apply mutatis mutandis.
③The Company shall deliver to the successful bidder a Lot exchange slip after he has affixed his signature or seal to the confirmation of bid. The successful bidder shall, upon receipt of the Lot, deliver to the Company the Lot exchange slip. The Lot exchange slip shall operate solely as a certificate of discharge and shall serve no other purpose. The same shall apply for the Lot exchange slip as referred to in Articles 10.
(Bids in Writing ‒ Order bids)
Article 10. A bid may be placed in writing by facsimile or by the internet system designated by the Company in advance. A bid placed in writing, by facsimile or by the internet system designated by the Company shall be hereinafter referred to as a "written bid."
②A written bid shall be submitted to the Company at least two working days before the auction by describing therein accurately the name (in the case of a corporation, the names of the corporation and its representative) and address of bidder, the Lot Number, and the maximum bid price the bidder is willing to place (excluding the buyer's premium and the consumption tax thereon), and by affixing
the signature or seal of the bidder to the same. A written bid that does not include a maximum bid price shall be deemed invalid.
③ The Company shall bid on behalf of any person who has placed a written bid, and may do so either through the auctioneer or in any other manner the Company may deem appropriate at its discretion.
④A person who has placed a written bid becomes the successful bidder if his maximum bid price exceeds both the highest bid price of other bidders and the reserve price (provided for in Paragraph 2 of Article 20), in which case the hammer price shall be equal to the second highest bid price or the reserve price (provided for in Paragraph 2 of Article 20), whichever is higher, plus an appropriate increment decided by the auctioneer. In such a case, as is the case with a bid in person at the auction site, the sale contract shall be concluded at the time when the auctioneer decides the purchaser by hammering the Lot down to the highest bidder.
⑤If two or more written bids for the same Lot offer the same price, precedence shall be given to whichever was received first by the Company. If two or more such bids are received at the same time and the Lot in question is knocked down at the bid price described under the preceding Paragraph, the successful bidder shall be decided by lottery later.
⑥The Company reserves the right to refuse, at its discretion and without explanation, any written bid, and the Company shall in no way be liable for any failure of the notification of its intention to refuse the bid to reach the bidder except in the case of intentional misconduct or gross negligence by the Company.
⑦The Company shall in no way be liable for failure to execute a written bid at the auction, whether through error or any other cause (including a case in which the Company fails to execute a written bid under the events outlined in Paragraph 3 of Article 8) except in the case of gross negligence by the Company.
⑧In the case of changes in catalogue descriptions or comments in catalogues as outlined in Article 5, any written bid shall be deemed as having been placed according to the terms of the changed description and comments. The Company shall do its best to notify written bidders of any relevant changes, but it shall in no way be liable if such notification fails to reach the written bidders in advance except in the case of intentional misconduct or gross negligence by the Company.
⑨The Company shall promptly notify any written bidder of his having become a successful bidder. Immediately upon receipt of such notice, the successful bidder shall deliver to the Company a confirmation of bid to which he has affixed his signature or seal (in the case of a corporation, the names of the corporation and its representative) after confirming the Lot Number and the hammer price set forth in the confirmation of bid. Provided, however, that any sale shall be concluded at the time of the fall of the auctioneer's hammer and that the confirmation of bid shall be made solely for record purposes. Thereafter, the Company shall deliver a Lot exchange slip. The successful bidder shall, upon the receipt of the Lot, deliver to the Company the Lot exchange slip.
⑩When Article 8 or 10 of the Consumer Contract Law takes precedence over this Article of The Terms and Conditions, the Company shall apply the appropriate provisions of the Consumer Contract Law in accordance with Article 27 of The Terms and Conditions.
(Telephone Bids and Live Bidding System)
②Any person who intends to place bids by telephone shall apply to the Company in advance and shall be subject to the Company's instructions. In such case, Paragraph 6 of Article 10 shall apply mutatis mutandis.
③The Company shall in no way be liable for failure to execute a telephone bid at the auction, whether through error or any other cause (including a case in which the Company fails to execute a telephone bid under the events outlined in Paragraph 3 of Article 8), even if the bidder has already applied to bid by telephone and his application has been approved by the Company except in the case of intentional misconduct or gross negligence by the Company.
④When a person who has placed a bid by telephone has become a successful bidder, the successful bidder shall immediately deliver to the Company a confirmation of bid to which he has affixed his signature or seal (in the case of a corporation, the names of the corporation and its representative) after confirming the Lot Number and the hammer price set forth in the confirmation of bid. Provided, however, that any sale shall be concluded at the time of the fall of the auctioneer's hammer and that the confirmation of bid shall be made solely for record purposes. Thereafter, the Company shall deliver a Lot exchange slip. The successful bidder shall, upon the receipt of the Lot, deliver to the Company the Lot exchange slip.
⑤Any person who intends to place bids by live bidding system shall comply with Terms and Conditions of Live Bidding System posted on our website, in addition to The Terms and Conditions.
⑥When Article 8 or 10 of the Consumer Contract Law takes precedence over this Article of The Terms and Conditions, the Company shall apply the appropriate provisions of the Consumer Contract Law in accordance with Article 27 of The Terms and Conditions.
Section Ⅲ SUCCESSFUL BIDDER
(Purchase Price)
Article 12. The successful bidder shall pay, in addition to the hammer price, an amount calculated according to the following Subparagraph as the buyer's premium and the consumption tax thereon. (The combined sums of the hammer price, the premium, and the consumption tax thereon shall hereinafter be referred to as "the purchase price.") (1) 16.5% of the hammer price
(Payment Period of Purchase Price)
Article 13. The successful bidder shall pay the purchase price within ten days (except for Saturdays, Sundays, and holidays as defined in the National Holidays Act) after the day of the auction. Such period shall be hereinafter referred to as "the payment period". Payment will only be accepted during the Company's hours of business. Payments shall be made in Japanese yen, either in cash or by check drawn on a bank as defined in the Banking Act or by remittance transferred to one of the following accounts (in which case the remittance must reach the designated account within the payment period): Bank Name:

(Delivery)
Article 14. The Company shall deliver the Lot to the successful bidder after the purchase price has been paid in full. Provided, however, that if the successful bidder owes any debts to the Company that have fallen due (including miscellaneous expenses defined in Paragraph 3 of Article 16), the Company shall not deliver the Lot until the purchase price and all such debts have been fulfilled. The purchase price and all other debts owing to the Company that have fallen due shall be hereinafter called as "the total amount due."
②The successful bidder shall receive the Lot within the payment period after having paid in full the total amount due.
③The place of the delivery of the Lot shall be at the premises of the Company, and any expenses for receipt of the Lot shall be borne by the successful bidder. The Company shall in no way be liable for any accidents to the Lot (including destruction, loss, theft, damage, or soiling) after the time of delivery (which shall mean the time at which the Company delivers the Lot to the successful bidder, to his agent or messenger, or to a carrier at the Company) except in the case of intentional misconduct or gross negligence by the Company. If the Company arranges a carrier upon request of the successful bidder, such arrangement is made solely as a courtesy, and the successful bidder shall take out appropriate insurance. The Company shall in no way be liable for any accidents (including destruction, loss, theft, damage, or soiling) after the time of delivery or for its selection of carrier except in the case of intentional misconduct or gross negligence by the Company. The successful bidder shall-at his own judgment, responsibility, and expense-make such packaging as he shall deem proper. The Company may, before delivering the Lot, pack the Lot in a manner it deems appropriate, but this is intended solely as a courtesy, and the Company shall in no way be liable for such packaging except in the case of intentional misconduct or gross negligence by the Company.
④The successful bidder may inspect the Lot at the time he receives the Lot. Regardless of whether the successful bidder actually inspects the Lot, when the Company delivers the Lot to the successful bidder (or to his agent or messenger, or to a carrier), the successful bidder shall neither make any claim against the Company nor terminate the sales contract for any mistake in the Lot he has received, or for any damage or soiling thereof after the time of delivery except in the case of intentional misconduct or gross negligence by the Company. This provision shall not prevent the Company from requiring the return of any object that the Company has mistakenly delivered.
⑤The successful bidder shall, upon receipt of the Lot, deliver to the Company the Lot exchange slip. When the Company receives the Lot exchange slip, the Company shall be relieved of any liability even if a party other than the successful bidder receives the Lot (except in the case of intentional misconduct or gross negligence by the Company).
⑥ When Article 8 or 10 of the Consumer Contract Law takes precedence over this Article of The Terms and Conditions, the Company shall apply the appropriate provisions of the Consumer Contract Law in accordance with Article 27 of these Terms and Conditions.
(Risk of Loss and Transfer of Ownership)
Article 15. The successful bidder shall bear any risk of loss of the Lot after the conclusion of sale (when the auctioneer hammers the Lot down to the highest bidder), which means that the successful bidder shall bear any loss, destruction, theft, damage, or soiling of the Lot not attributable to impropriety by the Company.
②Ownership of the Lot shall not be transferred to the successful bidder until he pays the total amount due in full and the Company delivers the Lot to him. Ownership shall be transferred to the successful bidder at the time of the delivery of the Lot after the total amount due has been paid in full.
(Miscellaneous Expenses)
Article 16. The successful bidder shall not be required to pay any storage or insurance charges for the duration of the payment period (or if the Company delivers the Lot before the expiration of the payment period, until the time of the delivery).
②If the successful bidder is unable to receive the Lot within the payment period, he shall pay all storage and insurance charges from the expiration of the payment period until the time the bidder receives the Lot. In any such case, the Company shall not be required to take out insurance.
③The storage and insurance charges to be borne by the successful bidder shall be referred to as "miscellaneous expenses."
(Stolen and Lost Property)
Article 17. If, before the delivery of the Lot, a third-party claim that the Lot is lost or stolen property of which he is the rightful owner and demands its restoration, or if it is discovered that the Lot is of a type whose sale or possession is prohibited by law, the Company may rescind the sale without notice. In any such case, if the Company has received payment of the purchase price, it shall refund the purchase price without interest, and the successful bidder shall not make any further claims against the Company, including any claim for damages.
②If the Superintendent General of the Metropolitan Police Department, the Chief of Prefectural Police Headquarters or the Chief of Police Station directs the Company to keep the Lot in its custody for a set period in accordance with Article 21 of the Secondhand Articles Business Act, the Company shall not deliver the Lot until the expiration of that period. In any such case, the phrase "within ten days after the day of the auction" in Article 13 shall be replaced by the phrase "within three days after the expiration of the period of custody set by the Superintendent General of the Metropolitan Police Department, the Chief of Prefectural Police Headquarters or the Chief of Police Station." The replacement phrase shall apply in defining "the payment period" as it appears in Article 14, 16 and 18. Furthermore, the Company shall in no way be held responsible for the consequences which may result from any delay in the release of the Lot.
(Default of successful bidder)
Article 18. If the successful bidder fails to pay the total amount due within the payment period, the following Subparagraphs shall apply:
(1) The successful bidder shall pay damages for delay at an annual rate of 18%, (in cases in which the Consumer Contract Law is applicable, at an annual rate of 14.6%) on the unpaid amount of the purchase price (excluding the consumption tax thereon) from the day following the
expiration of the payment period until the total amount due (including all miscellaneous expenses) is paid in full (or, if the contract is terminated in accordance with Subparagraph (3) hereof, until the day of termination).
(2) The Company shall at its discretion take custody of the Lot in whatever manner it deems appropriate after the expiration of the payment period. The Company shall in no way be liable for destruction, loss, theft, damage or soiling of the Lot for any reason whatsoever prior to the receipt by the bidder of the Lot, nor shall the bidder be relieved of any obligation to pay the total amount due except in the case of intentional misconduct or gross negligence by the Company. The Company shall not be required to insure the Lot for such period.
(3) The Company may terminate the sales contract if the successful bidder fails to pay the total amount due upon receipt of a demand notice from the Company. Notwithstanding the above, provided the Company has sent a demand notice to the address of the successful bidder registered with the Company or of which the Company has been notified by the bidder, in the case where the demand notice remains undelivered because the addressee is absent or unknown or where the successful bidder refuses receipt thereof, the Company may still terminate the sales contract. In such a case, the sales contract shall be deemed terminated as of the time the Company sends a notice of termination to the address of the successful bidder agreed to in advance.
(4) If the sales contract is terminated in accordance with the preceding Subparagraphs (3), the Company may sell the Lot to a third-party either by auction or a privately negotiated contract, in which case no reserve price shall be placed. In such a case, should the aggregate sum of the sales price by auction or sale contract, the buyer's premium defined in Article 12 herein, and the consumption tax thereon be less than the original purchase price, the defaulting bidder shall pay the Company the difference, and the damages for delay, at an annual rate of 18% (in cases in which the Consumer Contract Law is applicable, at an annual rate of 14.6%) from the day of that auction or conclusion of the sales contract until the amount is paid in full. On the other hand, if the price is higher than the original purchase price, the defaulting bidder shall not make any claim whatsoever on the difference.
(5) If the sales contract is terminated in accordance with the preceding Subparagraph (3), the Company may return the Lot to the consignor at the request of the consignor. In such a case, the defaulting bidder shall pay the Company the buyer's premium which the defaulting bidder had to pay for the Lot defined in Article 12 herein, and the consumption tax thereon, and the damages for delay, at an annual rate of 18% (in cases in which the Consumer Contract Law is applicable, at an annual rate of 14.6%) from the day of the auction until the amount is paid in full.
②When Article 8 or 10 of the Consumer Contract Law takes precedence over this Article of The Terms and Conditions, the Company shall apply the appropriate provisions of the Consumer Contract Law in accordance with Article 27 of The Terms and Conditions.
sale by consignment subject to The Terms and Conditions as well as to the Agreement on Sale for "Modern Art PartⅡAuction" by Consignment as separately specified by the Company.
②The consignor shall guarantee to the Company that he has either complete ownership of the Lot to be consigned or the legal right to consign the Lot for sale based on complete ownership.
(Reserve Price)
Article 20. The Consignee may sell the Consigned Lot without setting a reserve price (minimum selling price excluding the buyer's premium and consumption tax thereon).
②In spite of the preceding Paragraph, The consignee may place a reserve price in accordance with the following Subparagraph.
(1) The reserve price shall be designated in Japanese yen.
(2) The reserve price shall be agreed upon in writing between the Company and the Seller. The reserve price may not exceed the ceiling price of the appraised value.
(3) If a reserve price is placed, the Company shall not sell the Lot at a price less than the reserve price, except as specified in Paragraph 1 (4) of Article 18.
(4) The reserve price, if placed, may be changed or cancelled upon agreement in writing between the Company and the Seller.
(Withholding of Name)
Article 21. The Company shall not divulge the name of the consignor either at the auction or in the catalogue without the consent of the consignor.
SectionⅤ MISCELLANEOUS
(Changes to Terms and Conditions)
Article 22. The Company may change any of The Terms and Conditions. Any such changes shall be announced orally by the auctioneer on the day of the auction immediately before bidding begins for the first Lot and shall take effect forthwith.
(Prohibition of Transfer of Rights)
Article 23. No right or position in regards to the Company under The Terms and Conditions shall be transferred or be provided as security.
(Limitation of Liability)
Article 24. The Company shall not be liable for any damages for any reason in the case that The Terms and Conditions provide for non-liability of the Company.
②The Company shall in no way be liable for any damage in the case that such damages are caused by fire, natural disaster, war, disturbance, nuclear fuels, or labor disputes.
③If the Company is obliged to take custody of the Lot for the successful bidder and if the Lot is destroyed, lost, stolen, damaged, or soiled by negligence by the Company that does not fall under any of the previous Paragraphs, the Company shall, in relation to the successful bidder, be subject to the following:
Article 19. Any person who intends to consign a Lot to the Company for sale by auction in the Company's name shall apply for
(1) If the Lot is destroyed, lost, stolen, or seriously damaged or soiled, the sales contract between the Company and the successful bidder shall automatically be terminated, and the successful bidder shall be relieved of any obligation to pay the purchase price. If the Company has already received the purchase price, the Company shall return the purchase price without interest. The successful bidder may not claim any damages
whatsoever.
(2) If the damage to or soiling of the Lot is not serious, the Company shall reduce the purchase price in proportion to the degree of such damage or soil. The successful bidder may not claim any damages whatsoever beyond the reduction.
(3) The burden of proof of damage or soiling shall be on the successful bidder.
(4) The Company shall in no way be liable for its custody of frames, glass, mounting and case, and shall not be liable for any destruction, loss, theft, damage, or soiling thereto except in the case of intentional misconduct or gross negligence by the Company.
(5) The amount of damages to be paid by the Company under this Paragraph shall be appropriated by insurance money to be received by the Company based on the damage insurance contract concluded between the Company and the insurance company.
④Except as otherwise provided in the preceding Paragraphs, the Company shall in no way be liable for any damages except in the case of intentional misconduct or gross negligence on the part of the Company. If the Company is to be liable for its intentional misconduct or gross negligence, the range of compensation for the loss shall be limited to the extent of the damages reasonably foreseeable to the Company at the point in time when the intentional misconduct or gross negligence occurred.
(Qualification restriction)
Article 25. The Company will not cooperate or do business with any person or entity of the type described in any of the following Subparagraphs.
(1) A person or entity that engages in or has the intent of engaging in any activity such as money laundering; or that engages in or has the intent of engaging in raising funds making use of illegal or improper methods, inappropriate pressure, or violence; or within the past five years has engaged in or has the intent of engaging in any conduct of an anti-social group or member (hereinafter referred to as an anti-social group or member). Such groups or members include, but are not limited to: an organized crime group, a member or associate member of an organized crime group, a corporation related to an organized crime group, a group that engages in criminal activities under the pretext of conducting social campaigns or political activities, and a special intelligence organized crime group.
(2) A person or entity that participates in an auction accompanied by an anti-social group or member, or that intends to let an anti-social group or member participate in an auction by introduction.
(3) A corporation in which a director or auditor belongs to an anti-social group.
(4) A person or entity that uses threatening behavior or violence with regard to business with the Company.
(5) A person or entity that damages the Company's trust by spreading a false rumor; or uses trickery, deception, or inappropriate pressure; or interferes with the Company's activities in any way.
(6) A person or entity that does not adhere to the Company's Terms and Conditions or its rules.
②The Company shall cancel business with any person or entity that, in the Company's sole judgment, meets any of the descriptions in the Subparagraphs above and shall refuse to do business with any such person or entity now and in the future.
(Applicable Law)
Article 26. The Terms and Conditions shall be governed by and interpreted under the laws of Japan, and any matters not provided for herein shall be subject to the laws of Japan.
(The Consumer Contract Law)
Article 27. Where applicable, the Consumer Contract Law takes precedence over The Terms and Conditions. In addition, The Terms and Conditions shall be read and applied in accordance with other civil laws of Japan.
(Jurisdiction)
Article 28. Any lawsuit arising under this agreement shall be brought exclusively in the Tokyo District Court of Japan.
Article 29. This English translation of the original document in Japanese is provided for the convenience of customers; however, in the case of any discrepancy between the English and Japanese versions or any question of interpretation, the Japanese document shall control.
Additional contract conditions for watches (Applicable to LOT.208)
The Company offers no guarantee for the Lot whatsoever. The Company will arrange a preview of the Lot for prospective bidders before the auction. Prospective bidders shall place a bid based on their own examination and on their own responsibility, having formed their own judgment with respect to the matters contained in the descriptions and comments. The descriptions and comments that appear in the catalogues (such as, but not limited to, manufacturer’s name, trade name, material, size, weight, movement, production year, production place, serial number, identification, original case, explanatory leaflet, guarantee, and other such data) are compiled by the Company with due care and attention. Nevertheless, these descriptions and comments appear solely for the reference of prospective bidders. The Company shall in no way be responsible for any errors in the statements made or any discrepancies between the catalogue description and the actual object. The Company offers no guarantee whatsoever concerning the true characteristics of the Lot and is subject to no liability for defect of the Lot. If the Company is obliged to take custody of the Lot for the successful bidder, the Company shall in no way be liable for its custody of any chain, bracelet, belt, glass, case, original case, or other accessory. Moreover, the Company shall not be liable for any destruction, loss, theft, damage, or soiling thereof except in the case of intentional misconduct or gross negligence by the Company. The successful bidder shall have no right to return the object to the Company or to demand a refund of the purchase price. The Company shall not be liable for any damages for any reason. The successful bidder shall bear sole responsibility for arranging shipping under the provisions of Article 14 Section 3 of Terms and Conditions of Modern Art PartⅡ.
