2021 Annual Meeting Dear voting members, We look forward to seeing you at the 15th annual meeting of Girl Scouts of Central Indiana on March 15. We are fortunate that despite the challenges of 2020 we are able to come together in this virtual space to conduct the important business of our council. Like the 2020 annual meeting, we will keep this event narrowly focused on the annual meeting business and then provide a dedicated time later in 2021 to honor our volunteers. As a council voting member, I ask that you join us in conducting our annual business of reviewing and voting on the slate for our board of directors as well as our Board Development Committee. Bylaws (selected excerpts) Article IV – Board Development Committee 3. Duties: The duties of the Board Development Committee shall be as follows: Article VII – Board of Directors a. The Board Development Committee shall present at each Annual Meeting of the Council a single slate of Officers of the Council, members-at-large of the Board of Directors and members of the Board Development Committee. If vacancies occur in Officers, members of the Board of Directors, or the Board Development Committee between Annual Meetings, the Board Development Committee shall recommend nominee(s) to the Board. b.

A single slate for Delegates and nominees to fill vacancies among elected Delegates, should vacancies occur, to the National Council of Girl Scouts of the United States of America shall be presented at the Annual Meeting, as provided in Article XI.

c.

In partnership with the Board Chair and CEO, the Board Development Committee shall assure the education of the Board of Directors and orientation of new members of the Board of Directors, assess Board education, and plan for succession.

d.

Nominations for any position may be made from the floor, provided the eligibility of such nominees had been established and written consent to serve, if elected, had been secured and was in the hands of the Chair of the Board Development Committee ten (10) days before the meeting.

4. Vacancies. Except as provided in Article VI, Section 2, of these Bylaws, vacancies in the Board of Directors occurring by death, resignation, creation of new directorships, or otherwise, may be filled until the next Annual Meeting by vote of the majority of the remaining directors then in office, though less than a quorum, at any meeting of the Board of Directors called for that purpose.

2020 Annual Meeting Minutes The Girl Scouts of Central Indiana, Inc. annual meeting was held on Monday, March 16, 2020. Board Chair Vandana Kapur presided over the meeting. Chief Executive Officer Danielle Shockey welcomed everyone and expressed appreciation for the flexibility needed to conduct the council’s annual business meeting virtually. She also emphasized that the safety and well-being of girls, families, volunteers, and staff was of top importance during the developing pandemic. Danielle continued by reviewing the goals of the meeting posted on the council’s website for the voting membership. Danielle then introduced Board Chair Vandana Kapur. Vandana shared her support for council staff and their efforts to continuously pivot during the unprecedented time and for taking the necessary steps to minimize the impact of COVID-19 on all stakeholders. Vandana called the business meeting to order at 6:35 p.m. Vandana went on to say it was a pleasure to serve as board chair of Girl Scouts of Central Indiana and acknowledged the excitement of renewed energy and purpose by working hand in hand with Danielle and her team to provide the best leadership experience for girls. The meeting continued with Vandana explaining that the council is in the final stages of finishing the three year strategic priorities which will run through the end of 2020. The priorities are to reach and serve more girls from all communities, deliver consistent, quality outcome-driven girl programs, continue to build capacity through board engagement to deliver on our mission, and work collaboratively with central Indiana communities and Girl Scouts of the USA to build and enhance our brand. Concluding the board chair report, Vandana thanked all volunteers across the council’s forty-five (45) counties for their hard work and dedication to the Movement and defined the voting members according to the bylaws, article 1, section 3 and announced that 113 voting members were in attendance and a majority of counties were present to meet quorum. Motion: Vandana requested a motion to accept the 2019 annual meeting minutes as presented. The motion was seconded with the instructions to vote by aye or nay. Voting members were asked those in favor of approving the meeting minutes followed by those opposed. With the majority vote of aye, the 2019 annual meeting minutes were approved as presented. Vandana recognized Finance Committee member Jennifer Stansberry who presented the financial report in absence of Treasurer Beth Forman. Jennifer announced the council had received a clean audit on its financial statements and that the financial statements showed a decrease in net assets of just over $600,000 and the council used $850,000 in donations with donor restrictions and generated a $250,000 surplus from operations. She also stated the surplus was added to the council’s operating reserves and noted that our reserves are equal to 7.5 months of operating expenses, aligning to GSUSA’s suggestion of at least 6 to 9 months of operating expenses. Jennifer continued the finance report and indicated that the council continues to dedicate the largest portion of its revenue to program expense. 78% of the council’s expenses in 2019 went to provide programming for girls and the volunteers who assist. The finance report concluded with Jennifer announcing that copies of the audit for this year and years past are available on the council’s website. Annual Meeting

Vandana thanked Jennifer for the finance report and recognized Board Development Committee Chair Mary Azar Callahan. In accordance with the bylaws, article 4, section 3a, on behalf of the Board Development Committee, Mary presented the single slate for the board of directors, members-at-large, Board Development Committee and national delegates. National Delegates Alternates: Nominated for a three-year term ending 2023 Hillary Macy Sherri Wilson Motion: Vandana requested a motion to accept the slate of nominees for the Board of Directors, the Board Development Committee, and the national delegates as presented. Since this motion comes from a committee, a second motion was not required. Vandana added that elections shall be by ballot in contested elections and may be by voice or other means in uncontested elections. Since this was an uncontested election, Vandana announced we shall vote by voice, and take special note of any nays with names for our voting records. Vandana requested voting members in favor of the slate to say aye, those opposed say nay. With the majority vote of aye, the slate was elected as presented. Vandana presented the meeting’s closing remarks by thanking the voting membership for their critical involvement in this business portion of the annual meeting and welcomed new board, committee, and national delegate members. Having conducted the business of the council, the annual meeting of Girl Scouts of Central Indiana, Inc. was adjourned at 6:47 p.m. A few final remarks were made by Chief Executive Officer Danielle Shockey. She announced that a new date for the volunteer awards ceremony was scheduled to take place during the Service Team Conference on June 20, 2020. Danielle also asked that the county representatives join her throughout the year as we continue to prioritize quarterly opportunities for conversation.
