2019 Annual Meeting Dear Voting Members, We look forward to seeing you at the 13th annual meeting of Girl Scouts of Central Indiana on March 11, 2019, as we honor the volunteers that have such an impactful role in the lives of 29,000 central Indiana girls. Further, as I wrap up my first year as the new CEO, I am excited to share some new opportunities for engagement between council staff and Girl Scout volunteer leaders. At the meeting you will also be asked to elect our volunteer board of directors and board development committee who will join us in leading the Girl Scout Movement. This year we are thrilled to again host you at the Leadership and Learning Center as well as seven satellite locations in our Girl Scout service centers. We hope that given all these opportunities to be with us on March 11, everyone will join us in this annual celebration. Please remember that your attendance is critical for us to conduct the business meeting of our council. Please come early to shop and visit with old friends and the new ones that you will make. Bylaws (selected excerpts) Article IV – Board Development Committee 3. Duties: The duties of the Board Development Committee shall be as follows: a The Board Development Committee shall present at each Annual Meeting of the Council a single slate of Officers of the Council, members-at-large of the Board of Directors and members of the Board Development Committee. If vacancies occur in Officers, members of the Board of Directors, or the Board Development Committee between Annual Meetings, the Board Development Committee shall recommend nominee(s) to the Board. b.

A single slate for Delegates and nominees to fill vacancies among elected Delegates, should vacancies occur, to the National Council of Girl Scouts of the United States of America shall be presented at the Annual Meeting, as provided in Article XI.

c.

In partnership with the Board Chair and CEO, the Board Development Committee shall assure the education of the Board of Directors and orientation of new members of the Board of Directors, assess Board education, and plan for succession.

d.

Nominations for any position may be made from the floor, provided the eligibility of such nominees had been established and written consent to serve, if elected, had been secured and was in the hands of the Chair of the Board Development Committee ten (10) days before the meeting.

Article VII – Board of Directors 4. Vacancies. Except as provided in Article VI, Section 2, of these Bylaws, vacancies in the Board of Directors occurring by death, resignation, creation of new directorships, or otherwise, may be filled until the next Annual Meeting by vote of the majority of the remaining directors then in office, though less than a quorum, at any meeting of the Board of Directors called for that purpose.

2018 Annual Meeting Minutes The annual meeting of Girl Scouts of Central Indiana, Inc. was held on Monday, April 30, 2018 at the Leadership and Learning Center, 7201 Girl Scout Lane in Indianapolis, Indiana. Board Chair Diana Sullivan presided over the meeting. Diana welcomed everyone to the meeting and announced that the council’s business would be conducted in addition to recognizing adults and community partners that have affected the lives of thousands of girls in central Indiana. Special guests, Susan Oliver and Kelly Schneider from WIN/Salesforce were introduced and received a round of applause for their support of Girl Scouts. Diana reminded everyone that it was the second year of hosting the annual meeting at the Leadership and Learning Center, as well as live streaming the meeting to each of the council’s Service Centers. Diana stated that as voting was conducted on meeting business, votes would be gathered from each Service Center. Diana asked that all stand as Girl Scout Savannah Kellams led the opening ceremony. Diana called the business meeting to order at 6:30 pm. Diana announced that it had been a pleasure to serve her second year as board chair of Girl Scouts of Central Indiana and acknowledged the biggest and best accomplishment as the successful transition from the very first CEO of Girl Scouts of Central Indiana, Deborah Hearn Smith, to our new CEO, Danielle Shockey. She continued by stating that the priorities of the council were shared with Danielle during the hiring process and the search committee soon became easily impressed with her positive energy and her connections and experience in public education. Diana commented that a Girl Scout alumna, Danielle’s experience serving Indiana’s youth, spans a career of 20 years as the sole Deputy Superintendent of Public Instruction for the Indiana Department of Education where she was at the forefront of Indiana K-12 education. Diana concluded by adding that Danielle also had experience as a college dean, school principal and educator and had earned a Bachelor of Science in Elementary Education from Ball State University and a Master of Science in Educational Leadership from Indiana University. Diana introduced Chief Executive Officer Danielle Shockey. Danielle was given a warm welcome and stated that she was honored to be with everyone in her first, of what she planned to be, many annual meetings and shared her G.I.R.L. story

Courage v Confidence v Character and her strategic priorities for the next twelve months that included growing membership; focusing on council fiscal health; developing fund development initiatives; and proactively planning for marketplace competition. Danielle asked that each person leaving the meeting to stand up in their neighborhood, place of worship, schools and in deliberate ways and share the Girl Scout story, share their story. Danielle introduced Jennifer Victory-Newbert who shared her story and introduced the Give.Help.Repeat Campaign. The meeting continued with Diana substituting for Secretary Dr. Nicole Harper who was unable to attend. Diana defined the voting members as stated in the council’s bylaws and presented the credential report. Diana announced that 110 voting members were in attendance and a majority of counties were present to meet quorum. Motion: Diana accepted a motion to approve the 2017 annual meeting minutes. The motion was seconded. Diana continued by directing the voting membership to stand in approval, including the Service Center locations. Those opposed were then asked to stand. With the majority vote, the 2017 annual meeting minutes were approved. Diana recognized Treasurer Vandana Kapur who announced that the council had received a clean audit on financial statements that included: a decrease in net assets of one million dollars largely due to the completion of the second year of the three year Lilly Endowment grant; unrestricted or the operating budget finished in the black; and 81% of 2017 expenses were dedicated to fund girl programming; and that we continue to search for other funding to become less dependent on the success of the Girl Scout Cookie Program. Vandana closed the Treasurer’s Report by stating that copies of the audit would be available in late May and to contact the accounting department for copies. Diana recognized Board of Director 1st Vice Chair Jasmin French. In accordance with the bylaws, Jasmin presented the single slate for the Board of Directors, the Members-at-Large, and the Board Development Committee. Motion: Jasmin moved to accept the slate of nominees for the Board of Directors and the Board Development Committee as presented. Since this motion comes from a committee, a second motion was not required. Diana added that elections shall be by ballot in contested elections and may be by voice or other means in uncontested elections and a plurality of votes cast shall elect. Since this was an uncontested election, Diana requested that the voting members stand to vote, including those members at the Service Centers. Those opposed were then asked to stand. With the majority vote, the slate was elected as presented. Diana called for the newly elected Board of Directors and the Board Development Committee to join her and Jasmin at the lectern. The installation of the newly elected Board members and Board Development Committee members followed. The meeting continued with the presentation of the Community Award that recognizes a business or organization who has partnered with Girl Scouts of Central Indiana to provide Girl Scouting opportunities, bring visibility to Girl Scouts in the community or give support to improve council properties for girls to utilize and enjoy. Danielle announced the recipients of the 2018 Community Award as Kelly Schneider and Susan Oliver on behalf of the WIN/Salesforce. The award ceremony continued with Danielle presenting the volunteer awards. Danielle presented the meeting’s closing remarks by stating that during her first four months she has been inspired by the many volunteers, organizations and companies who are so dedicated to our girls and the Girl Scout Movement. She thanked everyone for helping to make her first annual meeting so special and asked that we reflect on where we’ve come from and celebrate our successes. Danielle congratulated all the award recipients and stated that through the commitment of the people in the room, together with dedicated volunteers and staff across the country, may Girl Scouting continue to positively impact the lives of many more generations of girls and thanked everyone for their efforts on behalf of Girl Scouts of Central Indiana.
