WHEN WE EMBARKED in the edition process for our 10th Annual Latinos on Boards issue, we never expected the amount of support and response from all these Directors and their companies. First, we wanted to touch base with them; more than 250 individuals were sent an e-mail asking them for their feedback. Almost half of them responded! Very busy people, with hectic schedules, traveling often, more than 100 took the time to answer questions, share inspirational quotes, confirm their information and even make enthusiastic comments that were deeply appreciated and very motivating. Numerous calls, e-mails and even text messages to Directors, CEO’s, Corporate Communication executives were exchanged in the process. Comments like “Thank you for the work you do.” or “Keep up with these editions that help us all.” were surprisingly received and noted for our own ego. The result is our best ever edition about Latinos serving on Fortune 1000 Corporate Boards. A fantastic collection of stories, backgrounds, visions, leadership styles and wisdom, above all. We need to recognize that our Latino Leaders team made a fantastic job in planning, editing, collecting information, selling and putting together a great edition, which makes us all very proud. We also want to recognize and thank the support of almost 60 corporations that purchased an advertising space to recognize and congratulate their leaders. This support is paramount to our work of identifying, profiling, recognizing and showcasing the success and leadership of all these individuals that are key decision makers and influencers in Corporate America. Welcome to another edition! I am so glad that you have picked up another great edition of the year! This particular edition is dedicated to the valuable work being done in the BOARDROOMS. This special edition features the list of at least 200 Latino men and women who are part of a boardroom. The amount of effort that went into this list is worth of recognition. Our team gathered everyone’s biography, along with the quotes and list of current board placements. This is the work that is put into this index every single year. Along with this list, this edition also includes remarkable interviews with Board members. Our mission was to understand what happens within these Boards, from their perspective. We look to understand a few things. First, what is the impact of Latinos on boards? What can Latinos bring to the Boards? For those looking to serve on a Board, how should they equip themselves? We also interviewed those that commit to placing more Latino executives on Boards. These headhunting firms are the first ones leading the initiative to create more diverse and inclusive boards. Our team spoke to these top firms to gives us their opinions about the potential Latinos could have for boards and corporates. All in all, Board membership is one of the highest positions of influence one could have inside a corporate or organization. Board Directors are calling the shots from above and the responsibility to carry a corporate lie on their shoulders. But in order for corporates to keep the Latino community in mind, there must be representation at the top. This is what it’s all about- the recognition for those that are at the top and the push to drive more Latino talent to the top. As you look through are stories, keep in the mind that all this is part of a larger picture. We are all a community working together for the benefit of our future.

HECTOR GARCIA Occupation: President, HSG Window Services

“GOING THE EXTRA MILE FOR OUR CLIENTS IS WHAT HAS MADE US THE GOLD STANDARD OF SERVICE.”

Background: The son of two immigrants from Mexico City, Hector Garcia’s entrepreneurial flame began at a young age. He worked a variety of jobs, from the fast-food business to an orderly position in a hospital, but nothing stood out to him more than a self-made man he met during work one day. The man, who ran a window-washing business, befriended Garcia, eventually selling him what is now known as HSG Window Services. He’s been the President of HSG since 1980 and has proudly served Orange County for nearly 40 years.

O

n a fateful morning in 1980, Hector Garcia purchased a window washing business in Los Angeles. He’d always had an entrepreneurial spirit but could never predict what would come from this once-in-a-lifetime transaction. Nearly 40 years later, Garcia now runs one of the top full-service window maintenance businesses in the country, serving as the gold standard for everything from waterproofing to bird control systems. In 1980, Garcia started small as a one-man business, servicing clients throughout the Los Angeles area. As his company grew, he began to take on more clients, more employees, and larger endeavors; most notably the high-rise buildings his business is renowned for servicing. “At first, we were just doing basic window cleanings. But as I got around to talking to my clients, I began to learn of their other needs. From vinyl repair to bird issues in their buildings, I thought to myself, ‘we’re already up there, why don’t we just go above and beyond? Going the extra mile for our clients is what has made us the gold standard of service”. Garcia, a self-made businessman, prides himself and his business on their camaraderie and customer service. Through the highs and the lows of the business, HSG has banded together like a family of sorts -- helping one another through difficult days on the job while supporting fellow clients and customers in solving their window-related needs. Comerica Bank has been integral to their operation. From credit lines to acquisition insight, HSG’s partnership with the bank has allowed them to expand and achieve never-before-seen growth. “I like to think of my partnership with Comerica like a Formula One race. My business is like the racecar; when we need to stop, repair, and refocus, Comerica is our pit crew. They’re always here to provide us with whatever we need, whenever we need it.” Currently, HSG has two full-service warehouses in Los Angeles and Anaheim, California. With the help of Comerica, they’re able to manage both while keeping their eyes on the prize. In the future, Garcia hopes to see the rise in business and profit he’s witnessed over the last few years. They’ve experienced tremendous growth through 2018; currently, they’re poised to beat the previous year’s numbers, as well. Sharing that success with his team and his family is what has helped Garcia remain ambitious and excited for what the future may hold. Working his way to the top has been no small feat, but thanks to his entrepreneurial spirit and an unrelenting urge to succeed, Garcia has seen his business become the gold standard of window service in Orange County.

THE POWER OF AGILE CORPORATE CULTURES

I

can’t think of a more potentially disruptive innovation to today’s businesses than the introduction of Artificial Intelligence (AI). It’s bound to be a textbook-case of the disrupt-or-be-disrupted scenario: Companies that embrace AI early on are likely to thrive and disrupt their industries, to the detriment of peers that fail to adapt.

So, why aren’t they?

As much as we’ve all been reading about the disruptive power of AI, you would think that companies would be rushing to implement it into their organizations. Not so. According to the authors of a recent Harvard Business Review article, only about 8% of companies “engage in core practices that support widespread adoption” of AI. How can that be possible? It turns out that one of the biggest challenges in implementing AI is not the technology itself (that is, understanding it, getting everyone trained on it, upgrading your systems, and allocating the capital). Rather, the challenge is the company’s culture.

Too rigid to change

This was a big aha for me: Having a culture that is not agile enough to change and adapt to innovation is more challenging than the new technology itself. In a way, it helps explain the casualties from the recent wave of digital innovation. We can all think of companies that reached the top of their class through innovation and disruption, but later failed to spot and adapt to the next wave. As a result of those miscalculations, several star names disappeared from the market while others had to reinvent themselves entirely under new leadership. You have to ask yourself, how can otherwise smart, well-educated, savvy leaders miss an oncoming disruptive trend? You may argue that just the pressure of beating the competition in next quarter’s results may keep leaders from spotting, much less reacting, to threatening new trends. Most likely, however, it’s lacking a corporate culture that’s agile enough to spot and seize change.

Whose job is it?

Which leads us to the question: Who is in charge of the corporate culture? Without a doubt, the organization’s leaders are in charge of creating and fostering it. But, counterintuitive as it may seem, corporate culture must never be static. It needs to constantly evolve and adapt to the environment in which it operates. And that’s where the guidance and oversight of the board of directors comes in. With their insights from other lines of business, experiences from running or having run successful operations, and their track record in spotting and navigating new trends, board members can guide leaders in creating and nurturing a corporate culture that’s agile enough to embrace, rather than fear, change. Members of corporate boards also have the privilege of perspective. Consequently, they are able to spot misalignments between the company’s objectives and its strategies (including the type of corporate culture) and provide guidance to the leaders so they can make the necessary adjustments.

Diverse boards, agile culture

It stands to reason, then, that a diverse board would be more able to spot such misalignments. By “diverse” I mean not just gender, age, and ethnicity. I mean different ways of thinking, different approaches to entrepreneurship, and different levels of risk-taking, among others.

The power of diverse boards

Those are the types of diverse board inputs that can help company leaders foster a culture that accepts dramatic change and is excited by the prospect of it. We’re entering unchartered territory. We’re in a mode of discovery as we head for a future we can barely begin to grasp. The companies that will survive and thrive in a world largely driven by AI and other innovastions are those that possess an agile culture and a diverse board. A board that includes leaders such as those featured in this issue of Latino Leaders. My congratulations to the companies that had the wisdom to appoint them to their boards, and to the individuals themselves for their role in helping American corporations stay agile in a changing world. un Holdings CEO, Guillermo Perales is one entrepreneur that has hit the ground running. Born and raised in Mexico City. Alumnus from Tecnologico de Monterrey. Perales moved to the US having recently graduated and began to work for Maseca, corn flour and tortilla manufacturer. Throughout his time at Maseca Perales began looking to the other side of the business. Since Maseca sold directly to restaurant chains, Perales was able to catch a glimpse of the ins and outs of the franchise business. To begin his venture into franchise, Perales managed to convince Golden Corral to give him the Mexico market. Mexico then experienced a downfall in the economy and politics, and Perales decided to move his business to Dallas. After settling in Dallas and with five Golden Corral permissions, he dived into serious work. In 1997, he opened his first Golden Corral restaurant. Burger King and Popeyes came after. In the following years, his franchise business began growing exponentially. But it takes a certain something and someone to understand how the franchise business works. For Perales, he had to understand the economic asset for each of the brands. “Knowing that information gives you the opportunity to demand,” says Perales. “Knowing the numbers and having someone who is supervising, working within the brand and who is dedicated to the brand.” When it comes to selecting his next brand, Perales takes it slow. He has a certain way of thinking when it’s time to decide. “You have to have a brand that

you know is successful or is going to be successful.” He recalls how everyone once raved about Popeyes and their food, and for the past 20 years, Popeyes has always been a restaurant that has produced effectively in favor of Perales. So understanding the business, the market, the numbers, and the people is one of the most important elements when it comes to growing your franchise. Another important factor of the business is knowing how to have a good relationship with the franchisor. “Part of my job is to always put out fires. There is always something going on inside the restaurants.” Perales considers it such a critical partnership in the strength and development of the brand. All in all, for Perales it has been a bumpy road to success. “The constant battle everywhere for a chance to grow and to have the opportunity is hard.” That hasn’t stopped him. As a minority, discrimination is something quite common, but this has only pushed Perales to get creative with solutions. Perales’ company, Sun Holdings, also owns Taco Bueno and plans to completely restructure the brand. The purchase was finalized in the beginning of 2019. Perales and team plan to create a new prototype for Taco Bueno. The plan is to remodel locations, enhance customer service and menu, and increase brand initiatives. Just recently, Perales sealed the deal for the acquisition of 51 McAlister’s Delis. To date, Perales and Sun Holdings operate 1000 locations, making him the third largest franchisee in the country.

As part of this great milestone we decided to multiply our efforts in the inclusion of many Latino board members as possible. Part of our research process is to conduct a thorough outreach of all corporates possible to scout for Latino leadership. This year we’ve included over 200 Latino board members- the most we’ve ever had. In this coverage, we had the collaboration of some of the top executive search firms in the country, like Diversified Search. Along this dynamic partnership, we also had an amazing contribution from the Latino Corporate Directors Association (LCDA). As each year, we celebrate and applaud the leadership already in place. We tell the stories. We talk about their goals. But the other half of this mission is to continue the conversation of placement. Ultimately, our goal and mission is to give our readers the resources to become leaders. We asked this year’s featured board members…

ADVANCING LATINOS ON BOARDS: THE ROLE OF LCDA A FOREWORD BY ESTHER AGUILERA, PRESIDENT & CEO

am pleased to launch TRENDING TOPICS in the boardroom as part of a partnership between the Latino Corporate Directors Association (LCDA) and Latino Leaders magazine. There has never been a better time for a feature like this, that celebrates the talented Latinos and Latinas who represent the highest reaches of corporate leadership in our country. And there has never been a better time to highlight the need for more diversity in America’s boardroom. This column is designed to keep you apprised of the latest governance trends in corporate America. This first issue focuses on the growing momentum for diversity in corporate boardroom, fueled by a push by large institutional investors like BlackRock, Vanguard, State Street, and state pension funds like Service Employees International Union (SEIU) and the California Public Employees’ Retirement System (CalPERS). These investors are leveraging the proxy season, shareholder resolutions, and are writing letters to companies that lack gender diversity. Why is this important to investors? It’s about shareholder value and the bottom line. There’s a growing body of research that has demonstrated the correlation between board diversity that is inclusive of gender, race, and ethnicity, and corporate financial performance. According to the 2018 McKinsey study, ”Delivering Through Diversity,” companies in the top quarter for racial and ethnic diversity are 33 percent more likely to have financial returns above their respective national industry medians. Diversity also helps boards avoid “group think” and leads to more informed decision making. While Latinos represent the fastest growing segment of customers and employees of today and tomorrow, a vast majority of the largest corpora-

tions lack Latinos at the highest levels of corporate governance. LCDA tracking of Fortune 1000 companies shows that 75 percent lack a single Latino or Latina director. LCDA has partnered with the Institutional Shareholder Services (ISS – the largest proxy advisory firm) to compile and track the representation of Latinos in the boardroom. Jointly with ISS, we recently released new data on the board composition of S&P 1500 companies over the past ten years. What’s troubling is that the data confirms what we already know, Latinos are the group least represented in the boardroom. This poor representation is far below Latinos’ size of the population and economic clout. The fact is, Latinos account for the vast majority of the growth in the US workforce, approximately 74 percent of the 10.5 million workers to be added to the labor force through 2020. Latinos are also driving consumption. The US Latino gross domestic product (GDP) represents a whopping $2.13 trillion. While their consumer clout is increasing, the appointment of Latinos among new directors is actually decreasing. In 2018, the number of Latino directors was 4 percent, down from 6

percent in 2017, according to Heidrick and Struggles. The first step in addressing this problem is exposing it. In June, LCDA testified at a House Financial Services Committee hearing on increasing board diversity. The Committee passed, on a bipartisan basis, the “Improving Corporate Governance Through Diversity Act of 2019” which promoted transparency and disclosure on the gender, race, ethnic, and veteran composition on boards. This bill is

a step in the right direction because our data and tracking is incomplete without disclosure. Never before have we had this level of attention…and action…on this topic. These advancements speak to the timeliness of LCDA’s work Over the past ten years Latino Leaders magazine has showcased Latino corporate directors and the largest corporations in America where Latinos are at the table. LATINO LEADERS: What trends do you see currently on Board Diversity? RON LUMBRA: We are seeing great demand from clients for diversity in the boardroom. It has been quite refreshing to hear diversity as one of the top priorities for boards and senior C-suite leaders today. I think the recent shift in headlines we have seen this year, such as the recent California legislation for Boards and #MeToo have raised a great deal of awareness and is driving meaningful change in the boardroom. It might be slower than we like, but we see the tides shifting. Boards with a focus on diversity have a substantial competitive differentiator when it comes to attracting and retaining top talent.

LL: On the side of your clients, what are they most interested in when it comes to fulfill Board seats? Is Latino diversity on the table? RL: Our clients are most interested in building a board with top global talent that has the right combination of expertise to drive growth and purpose for company into the future. Latino talent is consistently part of the conversation, we often hear from our clients that they want to have their customer and employee base reflected within the boardroom. In fact, in our 2019 U.S. Board Monitor, which is an annual study of the trends in non-executive director appointments on Fortune 500 Boards, we saw that 23% of new board seats were filled by ethnic minorities (African-Americans, Asians/Asian-Americans, and Hispanics), up from 14% in 2009. Progress is slow but, improving.

LL: What are the benefits you see of having a diverse Board? RL: With a more diverse workforce around the world today there are a variety of valuable benefits to having that carry over into the boardroom – including different orientations and broadened perspectives – which helps boards better anticipate and manage risks and helps directors better understand and think more creatively about key company stakeholders and strategic needs for the company’s future. LL: Could you share some insights from your Board practice? RL: As a firm, Heidrick & Struggles was the first executive search firm to make a global commitment to diversity. Last November, Heidrick announced that on an annual basis at least half of its cumulative slate of initial board candidates presented to clients will be diverse, reaffirming a commitment to promoting diversity in board of director searches globally. This was developed in collaboration with Stanford’s Rock Center for Corporate Governance, Heidrick & Struggles’ pledge is designed to increase the number of women and members of underrepresented groups considered by boards. Since that time, we have indeed seen Boards all over the world be more intentional and purposeful when it comes to insisting on diverse candidate slates and seeking diverse leaders to fill their new board seats. We have found that intentionality is a key part of change. And there has to be a commitment to open-mindedness and creating a purposeful plan for finding and considering candidates from diverse backgrounds. But it can work. Last year, 57% of Heidrick & Struggles’ board placements in North America were diverse – this underscores that there isn’t a shortage of diverse and qualified candidates. At Heidrick, it is our belief that strategic intent, coupled with purposefully expanding the definitions of the requirements for successful board directors, can go a long way to achieving more diversity at the board level.

LATINOS IN THE BOARDROOM Corporate boardrooms have seen a lot of changes in recent years. There’s been a strong focus on boards taking responsibility for the larger corporate enterprise, including issues that may seem out of the board’s control, such as the increasingly high-profile issue of social purpose.

t really shouldn’t come as much of a surprise. This is in line with a focus on gender equity (heightened by the #MeToo movement), including more corporate board seats and more equitable compensation for female executives. There’s also pressure from proxy advisors and institutional investors for more clarity on the diversity of boards, including very specific disclosures on ethnic makeup, continued board effectiveness/refreshment, and

increasingly common discussions regarding ESG (environmental, social, governance) issues. But for Latinos, the more things change, the more they… don’t. Despite a bevy of new statistics that highlight the important contributions Latinos make to both the U.S. economy and society, there has been little to no improvement of notable representation by Latinos on America’s corporate boards. A recent survey by Diversified Search (featuring com-

parisons from 2017 to mid-year 2019) of Fortune 500 and Fortune 1000 companies shows that the number of total seats in the Fortune 500 held by Latinos has remained largely flat, at 2.8%. (“Latinos” are defined as those that are U.S.-born, or self-identify as Latino if born in another country of origin.) The good news? The total number of board seats occupied by Latinx people has increased by 14% during that period. The bad news is that the figure has not kept pace with the commensurate increase in overall Fortune 500 seats. One bright spot: the number of Fortune 500 companies without any Latino directors has declined from 73% to 69%. But that’s still a surprisingly large, and frankly distressing, number. The Fortune 1000 representation numbers show some improvement in the overall increase of 32 net seats, or 2.7%, slightly lower than the Fortune 500 rate of 2.8%. The number of Fortune 1000 companies without a single Latino director has similarly dropped, from 799 to 769 companies. While Latina directors increased from 79 to 86 in the Fortune 1000, the numbers still lag the impact of the overall growth rate of female directors on such boards. Women now represent about 24% of Fortune 1000 seats, a noticeable improvement in just a few years. Latinas represent less than 1% of corporate directors. Some overall trends for all corporate directors are notable. First-time directors (those who have not previously served on a corporate board) continue to be a positive trend for all corporate directors. Of the 22 net Fortune 500 new director seats for Latinos, 15, or 68%, were first-time directors. This is evidence that corporate boards continue to show openness to board refreshment and non-CEO candidates. Additionally, the ever-present need for cybersecurity experts trends

favorably for Latinx CIOs and CTOs who have recently been elected to corporate boards; that bodes well for future elections. Finally, there is a strong and pragmatic reason for an increasing focus on getting more Latinx representation on corporate boards: the Latino consumer is the fastest-growing segment of the business-to-consumer economy. You can’t understand your growing customer base if no one from that base is in the room during top-level decision-making. While Latino representation on boards remains very much a work in progress, it may be helped by current governance trends. In addition to the openness to first-time directors and non-CEO candidates, the growing importance of ESG may bolster the inclusion of more Latino candidates into the board pool. And continued demand for gender representation may hopefully lead to more Latino elections. Why? There seems to be a correlation for companies that the more women they elect to their boards, the more likely they are to add minority directors, including Latinx people, as well. Representation of Latino directors has not kept pace with increases in net board seats and the growing representation of women on boards. Continued demand for diversity, especially Latinos and Latinas, will hopefully lead to more proportionate representation on corporate boards. In the interim, the Latino Corporate Directors Association (LCDA) and publications like Latino Leaders will continue to be critical in advocating and making the business case for more Latinx representation on corporate boards to nominating/governance committees, and to influencers such as search firms. BRIAN MOYNIHAN’S BATTLE CRY IS "NO EXCUSES", HERE'S WHY Sitting down with Bank of America Chairman and Chief Executive Officer Brian T. Moynihan can sound a bit like a visit to the human resources department, where the rubber, essentially, meets the road.

n a recent interview, Moynihan, famous for his battle cry “no excuses,” was talking about the ideal corporate board when he veered off course to churn through a list of employee benefits at BofA. Suddenly, he’s talking about the $35,000 baseline salary and the healthcare policy that balances the needs of financial, physical and emotional wellness. He mentions the 16-weeks of paid paternal leave that is used, up to 40 percent of the time, by men he says casually. He mentions “sustainability” and “diversity,” and says the BofA has “en-

vironmental responsibilities.” It seems the second largest bank in the country is trying to A) keep up with the times and B) take care of its own. Shareholders, it turns out, are on a short and critical list of constituent groups Moynihan has to worry about. This list includes employees, the government, customers, communities, the environment and society as a whole. Did we leave anyone out? If so, this is not by design. For Moynihan, the perfect corporate board is made up of experts from a wide range of special interest groups, including minorities, women and “everything in between.” Hispanics are on the list, Blacks, Asians, everyone else. In the meantime, “challenge” is a word that frequently comes up, mostly in the context of board members challenging the bank’s management to get it right. Part of Moynihan’s job is to remind people that society at large is one of a bank’s primary constituencies. Through the power of lending, a bank has a great deal to say about what happens in the private sector – who builds what, where and when. As such, when BofA commits $300 billion in low-carbon business investing by 2030, they are steering society through one of their self-imposed mandates – or wickets – which happens to be a sustainable future. When they move $250 million each year to charities, they are defining who we should help in broad strokes. If BofA agrees global warming is a problem, people wake up to this news. When they change an employee policy, corporate America takes notice. Bank of America has, in effect, a medium-sized city on its payroll – 208,000 people, which is slightly larger than Salt Lake City or Grand Rapids, Michigan. BofA has, according to one online source, 67 million customer relationships – that’s 67 million checking accounts, savings accounts, home and car loans, which is probably why Moynihan says perspective is everything. The board’s job is to be “completely independent of management,” he says. Their role is to manage risk, place the bank’s top talent in the right jobs and challenge management at every turn. Further, board members are fairly clear about this point: Customer service comes first. If that is true, profits

will follow. But let’s worry about that later. If the customers are happy, returns will reflect that and shareholders will be happy. Nothing to it. Moynihan is proud of BofA’s board diversity, which has been industry-leading for years. With a tradition of openness to female board members, Moynihan points to Monica C. Lozano, chair, BofA’s Compensation and Benefits Committee and Chief Executive Officer at College Futures Foundation (and former chair of U.S. Hispanic Media Inc.) as a key board member who represents women and Hispanics, as well as Arnold W. Donald, president and CEO of Carnival and Lionel L. Nowell III, former senior vice president and treasurer at PepsiCo Inc., who bring an African-American perspective to the board. Each board member brings an experience-based or academic perspective to the company that is dedicated to keeping risks within carefully set parameters, while aiming for steady, slow growth that doesn’t lose sight of its mission. And, granted, losing sight of its mission happens. The Great Recession of December 2007 through June 2009 – with much longer implications on Wall Street and Main Street – was a decidedly inauspicious starting point for Moynihan, who joined Fleet Bank in 1993, which was then later acquired by BofA. In 2009 he became president of Consumer and Small Business Banking and was named CEO just 12 months later. When he joined, the financial sector was still reeling from the massive subprime mortgage debacle that staggered banks like a series of tectonic migraines. Hundreds of lending and investment banks went under, including some of the nation’s biggest – WashingtonMutual, Wachovia and Bear Stearns among them. Moynihan’s job was to steady the ship, even while the aftershocks were still in play and despite a series of public relations disasters. In total, by the time things settled down, BofA faced $76.1 billion in government fines for a variety of missteps, according to a MarketWatch report, $32.4 billion more than its closest competitor. If there was a key to BofA’s turnaround

it was likely its dedication to customers. Famously, in November 2011, the bank abruptly canceled plans to add a $5 fee to debit card users in the face of customer opposition. While other banks also retreated from the idea, BofA Co-chief Operation Officer David Darnell gave the rationale for the policy change. “We have listened to our customers very closely over the last few weeks,” Darnell said in a statement. This was a sea change for modern banking. Previously, listening to customers was not one of the most frequently mentioned attributes among the nation’s big banks, which were seen as self-serving and stogy. That perception had to change and Moynihan has been in the forefront of that branding shift. Banks reshape their communities. They loan money for you to buy a home or send your children to school. They are instrumental in small business growth and answer the call for corporations, as well. They can promote responsibility and, in fact, they can no longer ignore it. A mistake in the old days was embarrassing enough, but the nation’s judges and juries now include the Internet. A fine – any bank can survive a fine. The word to fear now is: Viral. Sensing that shift has been BofA’s salvation, which Moynihan champions. In a March 2019 letter to shareholders, Moynihan said, “we have to grow by delivering more for our customers and clients. We have to grow by managing risk well. And, our growth must be sustainable. Sustainable means we have to share our success with our communities; we have to be a great place to work … and we have to drive operational excellence.” The battle cry is “no excuses,” but who does Moynihan want on board? From Antonio Garza, Former Ambassador to Mexico and Board Director at Kansas City Southern Latino Leaders: In your experience, what are the main factors that are considered when recruiting a Latino/a Board Director? Antonio Garza: You know, there’s been a tendency to look at current CEO’s for the boardroom and, while that’s a very important set of skills to have at the table, it does limit your pool when looking for more diverse candidates. What I’ve been seeing is an openness to candidates whose experiences may be, as in my case, in government, and others whose backgrounds are in academia, entrepreneurship or the military. When you cast more widely with Latinos in mind, you’d be surprised at the amazing people out there, many of which bring a perspective and a way of looking at the marketplace that your company was lacking and will benefit from having.

and a nominating and governance committee chairperson willing to show leadership on the issue. Truth is, there are plenty of good Latino candidates in the marketplace, but if directors limit themselves to who they know, there’s a high likelihood they’ll find someone that looks a lot like the boardroom they already have. I think investors and shareholders expect to see Latinos in the boardroom, because it’s good for business, and the right thing to be doing for the company.

LL: What should Latino Directors do once they’re part of a Board to open doors for others, without risking their reputation or crossing lines? AG: I think it’s the responsibility of every director to offer good suggestions as to candidates when filling openings LL: What needs to be done to make Boards more on the board. Part of doing that means getting out and diverse and inclusive? meeting people who may not be part of your network, but AG: More than anything else, the company and board would be great directors. Also, encourage people seeking need to have a commitment to diversity in the boardroom board seats to get known. For example, I’ve been involved with the Latino Corporate Directors Association (LCDA) and I think that one of the things the LCDA has done well, particularly as relates to publicly traded company boards, is expose Latino candidates to opportunity, advocate on their behalf and worked on building a solid pipeline of candidates for the future.

The main reasoning behind the three big ideals of the Launch with GS is narrowing on the investment gap using the funds towards an increase for profit and holding dear to the fact that diversity teams will outperform its competitors.

INVESTMENT FUNDS play a big part in the growth and future of companies and the connection to executive searches. Ap-Executive.com reports that companies have become reliant on executive search firms when trying to fill gaps at very critical positions. One company who has experience and knowledge using funds towards executive search is Goldman Sachs. The corporate recently began an initiative titled, “Launch with GS” to further invest in women-led companies and investment managers. “There are three main drivers with our launch program,” Head of Launch with GS, Jemma Wolfe said. The company details how they use a three-component system to further invest funds towards the hiring and selection of employees.

Three main drivers of Launch with GS

One of the first ideals the company focuses on is narrowing the investment gap. The main focus is on profit and using the economic goal as an investment opportunity towards growth as a whole. “We are doing this because we see it as a strong investment opportunity,” Wolfe said. Another perspective of why the company created Launch with GS revolves around the values and beliefs the company entrusts on. The company’s mindset revolves around the ideal that “investment opportunity is really embedded in beliefs that diverse management teams build better businesses.” The third focus details the importance of community engagement and investment funds towards the betterment of the current ecosystem.

So Why the Launch Program?

Launch with GPS is Goldman Sachs’ commitment to invest $500 million in women-led companies and investment managers. The companies’ goals’ details its efforts to narrow the gender investing gaps, building a global network of business leaders to facilitate connections, share ideas and uncover opportunities. www.goldmansachs.com

The companies’ mission states their belief in investing in diverse teams – diversity of gender, thought, and background – leads to outperformance.

“Our primary goal is really narrowing the investment gap,” Wolfe said. “We view the investment opportunity to invest capital.” Goldman Sachs is focused on the real world and the assurance that the money is being used towards businesses of people with diverse backgrounds. “We are looking for the best opportunity, no matter what the business looks like,” Wolfe said. Currently, Goldman Sachs is invested in a variety of companies, one of which focuses on data analytics outside of the United States. Data has been a big driving force in relation to building and creating the ideal diverse companies that bridge the gap of executive searches and investment funds.

The Importance of Numbers

Goldman Sachs initiative of Launch with GS calls on statistics and studies that backup the importance of diversity and its strong connection toward company investments. “On the ethnic diversity side, companies in the top quartile in terms of ethnic diversity are 35% more likely to have financial returns than the national median industry,” Wolfe said. The group strongly believes that gender and ethnic diversity further assists the company in reaching their overall performance goals. Another study the company found details that, “companies in the top 25% quartile for gender diversity on the executive teams are 21 % more likely to receive above margin profit.” With the introduction of Launch with GS, the company believes that the three driving forces they are focused on along with the proven results these studies produced detailing the importance of data will allow them to take advantage of investment opportunities.

uciano Macagno, the Managing Director of Latin America for Delta, knows this better than almost anyone else. A native of Argentina, MaJake Rivard cagno has spent his entire life traveling. in a relationship between management and the board. Another important factor is that there should be clarity of the responsibility of management and the board. Finally, communication plays a key factor, making sure the board is informed of important topics and there are no surprises. LL: What is the most effective way to create a healthy interdependence? AC: I believe the separation of Chairman and CEO to be a best practice. If there is no separation then the figure of a Lead Director becomes very important. The Chairman or the Lead Director play a crucial role in coordinating the relationship between management and the Board.

Latino Leaders: In your experience, what are the main factors for a CEO, like you, to have a 100% effective Board of Directors? Antonio Carrillo: I think the most important condition for having an effective board is to have alignment between management and the board on the strategy of the company. If that alignment exists, the board will be able to evaluate how decisions made by management align with the strategy and measure progress. Another important factor is that the board needs to have a respectful environment where every Director can speak their mind openly and at the same time listen to the other Directors' opinions. LL: What is the benefit of having more diverse and inclusive Boards? AC: Diverse boards should bring different points of view on every topic. So, discussions become richer in terms of content and ways to approach different problems. Part of the Board's responsibilities is to oversee risk management in a company. A diverse board will be able to approach risk factors from different points of view and, therefore, be able to evaluate risk better. LL: In your experience, what elements are necessary to have the perfect marriage of a Board and the CEO? AC: Transparency and trust are the key factors

LL: What needs to be done to make Boards more effective for the CEO’s, but also for Customers and Employees of the Corporation? AC: There is a trend that has gained momentum in which large investors are pushing for ESG to be a key part of a company’s strategy. The milestone of an ESG strategy is to do a Materiality Study that looks at the impact the company has on the different stakeholders (customers, employees, communities, etc.) and the impact those environmental factors have on the company. With that Materiality Study, Management should integrate what is material for the company into the strategy. By using this approach, Boards make sure they are taking a broader view of the impact of the company. I tend to agree that a strong investor focus complemented with ESG should be part of the strategy of the company, but there are other views out there and companies and Boards approach the subject differently. LL: What would be a “dream Board” for you as CEO? What capacities, what kind of support, what kind of relationships? AC: The Board should reflect on the capabilities needed to support the strategic direction of the company. It should have a diverse group of individuals with strong reputations and proven capabilities to support the strategy and serve on the different committees. At the same time companies go through difficult times and the Board should have individuals who can deal with those situations. On the relationship side, Board members should feel comfortable giving their thoughts and listening to others always in a very respectful environment.

AN OPPORTUNITY TO CREATE CHANGE How Aleida Rios is shaping the future of energy at BP.

The world of energy is changing.

Legislation and innovation are causing companies around the world to look at their processes differently. The push for clean and renewable energy has never been more urgent than it is now. Aleida Rios, the Head of Upstream Engineering at BP, has had her eye on this issue for years.

And she has a plan.

“Instead of running from the challenge, we’ve decided to embrace it.” Rios, a Mexican immigrant and first-generation college student has always prided herself on her ability to face change with excitement rather than fear. She’s spent her entire career at BP as an advocate for positive change as the company embraces the wave of cleaner energy in the modern era. “One of the most important pieces of advice I’d ever received growing up was about facing your fears. The things that scare us the most have the most potential to change us -- and I try to seek out that change every day.” Rios uses this advice as she and BP continue to innovate with products that help customers and clients lower emissions to make the world a better place. Where other companies may approach the situation with hesitation, Aleida and BP face it head-on as they strive to improve the world around them. “The things that scare us the most have the potential to change us. I seek out that change every day.” - Aledia Rios on the positive role change can play. The opportunity for Latinos to play a part in this change, Rios says, is within the grasp of anyone with passion. “This is a great chance for those looking to make a difference to get involved in providing solutions to the energy transition.” She references the tireless entrepreneurship, creativity and work ethic of Latina women specifically as problem solvers and a driving force for the future. “Latinas are incredibly resilient. They never give up and are tirelessly resilient. That’s what sets them apart in the workforce.” The most rewarding part of bringing this change to the world is the chance for Rios to be wholly authentic. “When I’m at work, I can be myself. I can do the job my way, I can speak Spanish, and I can use my background to do the job to the best of my ability.” Rios’ authenticity is one of her most defining characteristics. She’s open, honest, and incredibly passionate in her career. She strives to be the best she can be on a daily basis while remaining driven and focused on the future.

Since then, she’s applied her passion day in and day out as the Head of Upstream Engineering at BP.

The biggest lesson that Rios has learned?

We’re all in this together. “Whether you’re in your workforce or in your community, everyone is working together to accomplish something greater than themselves. I would encourage you to ask questions and get help whenever you need it. Everyone is here to help you become the person you’re meant to be.” From family to work, Rios’ focus on community and coming together is what makes her one of the most innovative engineers in the world of energy.

DONNA ALVARADO ON BOARD SERVICE I grew up in a big family. My father was career military and my mother enjoyed a full-time nursing career. We experienced our Mexican heritage first hand in visits with cousins in Mexico City. My mother was a role model at a time when it was unusual for women to be moms and have a career too. And my father taught us that in this country, the great privilege was that we could achieve any dream with a good education and willingness to work hard. WHEN I GRADUATED high school, my parents told me I could attend college anywhere, as long as it was instate tuition in Ohio. Dad had established residency there when he was stationed at Wright-Patterson AFB, so that higher education would be affordable for all 7 of his kids. I am a proud alumna of The Ohio State University, and also a Sooner, having attended graduate school at the University of Oklahoma. I have been blessed with a career in government, non-profit and corporate sectors. When I was serving as CEO of an educational publishing organization, I was invited to join the board of directors of Park National Bank, a wonderful community bank in Ohio. I greatly admired the character of the Chairman, as well as the other directors, and the bank’s long history of serving communities across Ohio. I was greatly honored and am proud to continue to serve on Park’s board to this day. What I most enjoy about serving on the boards of Park, CSX, and CoreCivic is the opportunity to learn from and serve alongside America’s great business leaders, both on the boards and the management teams, and to contribute to the stewardship of these companies. I am perpetually curious about discovering the underlying patterns in complex problems. Invariably there are unprecedented challenges where no one person has the answer. The key is found with open dialogue and asking the right strategic questions. I relish being part of a team of thought leaders seeking to work together to discover new knowledge and add value to the organization. The best-run companies are those that make it possible for every person to contribute their unique talents and insights. The mission flourishes when a company values diversity and authenticity, and the tone of at the top is unequivocally inclusive. I think corporate America still has a long way to go to advance diversity in the boardroom in terms of gender, race, ethnicity, but also diversity of experience, thought and cultur-

al perspective. I’ve seen tremendous progress, especially for women, over the last decades. I am optimistic that this diversity will continue to grow, as long as there is commensurate diversity in C-suites and the next level of leadership. In order to best serve their companies, directors should gain unfiltered exposure to the industry, to employees and to emerging trends. We must be proactive in asking management and our fellow directors how we, as individuals as well as collectively, can best support management and all stakeholders. The real contribution of diversity is making the circle of talent larger, and opening up the creative space so that new ways of thinking are fostered and made visible. The problems of the future cannot be solved by solely relying on the mindset and solutions that worked well in the past. Women have a unique challenge in balancing work, family and personal development. Good leaders will ask all members of the team what leadership can do to positively affect their ability to do their job and advance. The best leaders are accountable to each team member for leadership’s impact on an individual’s ability to deliver more value to the company. Just as we, as Latinos, feel a responsibility to reach back and lend a hand to advance the next generation of Latino leadership, so do we, as women, also have this responsibility to mentor and to coach those who will step into our roles in the future. Early in my board experience, I learned that courage, competency, and integrity are paramount qualities for corporate directors. Now, I would add a fourth: connection. Directorship is not about parachuting into the board room for quarterly meetings. While respecting the different roles of management and directors, a far deeper connection is required for optimal governance and stewardship. This means getting out and meeting employees at the heart of the mission, attending investor conferences, and understanding how the company is viewed by customers, communities, and regulators.

Many candidates will have the skills or specialties necessary for board leadership, but what sets boards apart is a demonstrated commitment to governing in a way that creates long-term value for all of the company’s stakeholders. LL: What is the benefit of having more diverse and inclusive Boards? MG: To me, a homogenous board can be a missed opportunity. I recently read that if the US Latino population were considered as an independent economy, it would rank as the 8th largest economy in the world. So as we become a business centered on understanding and catering

to our customers, diversity and inclusion throughout the organization is critical. We recognize that the various perspectives and backgrounds that stem from a diverse and inclusive company lead to better decision-making and outcomes. Collectively, we aspire to create a companywide culture that fosters inclusion, inspires innovation, encourages respect, and promotes success for everyone as we create a better energy future. LL: What would be a “dream Board” for you as CEO? What capacities, what kind of support, what kind of relationships? MG: We’ve recently upended the traditional “Independent Power Producer” business model to place focus on our customers, both large and small. As our board evolves over time, it would be beneficial to see our directors begin to reflect our customer-base from a diversity standpoint and a realignment on skill sets.

LL: What should Latino Directors do once they’re part of a Board, to open doors for others, without risking their reputation or crossing lines? GL: I don’t get the connection between recommending other Latinos and risking my reputation. That makes no sense. I’m not going to recommend someone just because they’re Latino. I’m going to recommend someone because, above all, they’re qualified. The perfect moment is when I can recommend a qualified Latino. Crossing the line? What line? If a Board is looking for a cyber expert and I recommend someone who does not fit that criteria, that may be crossing the line. I don’t see why one would do that, Latino or not.

Latino Leaders: In your experience, what are the main factors that are considered when recruiting a Latino/a Board Director? Gerry Lopez: Qualifications trump all. To pretend otherwise is a fool’s errand. Being Latino is clearly a powerful factor and I’ve served on more than one Board where I was the first Latino ever. But just to be clear, without the HBS education, the C-Suite positions, the job experiences, the personal network and reputation, the opportunities to serve on Boards wouldn’t have materialized. Boards are not large groups, and everyone needs to hold up their end of the bargain. There are no “throw-away” seats on Boards. Everyone LL: Please feel free to add any other has to contribute. Comerica has 17 active employee resource network groups across its markets to promote the inclusion of a wide variety of employees, from young professionals to LGBTQ colleagues, to military veterans. The network groups focus on delivering awareness about cultures while encouraging internal networking. Employees can also be members of our Local Diversity Roundtables, which are comprised of colleagues from different areas of the bank who are charged with promoting diversity and inclusion in their markets. Additionally, we have 19 market segmentation business outreach teams across the company that are responsible for developing strategies and tactics for demonstrating our commitment to and reaching out to diverse markets.

Latino Leaders: Can you describe the culture at Comerica Bank? How relevant is it for you and the leadership team and what role does diversity play? Curtis Farmer: For us, diversity is embracing an inclusive culture that recognizes, respects and is sensitive to the differences of our community. Diversity is a pillar of Comerica’s promise to raise expectations of what a bank can be, and it is fundamental to the success of our business. Our behaviors, values, and beliefs support an inclusive work environment that embraces our role in the communities we serve. Respect for diversity is part of our culture. Our leaders recognize and promote behavior that uses and values similarities and differences to create a work environment that encourages creative thinking and solutions; understand that the benefits of a broad range of ideas, viewpoints, and backgrounds working together will produce quality products and services; embrace inclusion of all individuals; and treat colleagues, customers and suppliers fairly, with dignity and respect. And, this is what we expect of our teams as well. LL: Comerica is recognized for its diversity; can you highlight some of the programs that you have in place? CF: We pride ourselves on being a leader in diversity programming. As of August 31 of this year, I’m pleased to say that 86 percent of colleagues were enrolled in the company’s Master of Diversity Awareness (MDA) program. Colleagues participate in nine dimensions of activities, and through the program, they have access to hundreds of educational opportunities. To date,

LL: Describe the composition of your Board. How important is diversity to your Board? CF: Of Comerica Incorporated’s 12 board members, three are women, and one of those women is Latina. Additionally, two of the 12 members are African American. Diversity is very important to our Board and Comerica, and it is one of the factors considered when board positions are being filled. It shapes our culture and reflects the ideals for which Comerica was founded nearly 170 years ago. We know that diversity drives professional growth, fosters more creative ideas in the workplace and encourages innovation. When a company like Comerica truly reflects the demographics of its markets, it better serves its customers, grows its business and builds an even stronger organization. LL: How important is diversity in Corporate America? CF: I believe that diversity is a business imperative and should be engrained within a company’s culture, corporate strategy and longterm plans. Changing demographics are making the workforce more diverse, and with the rapid growth of the Hispanic population creating and maintaining an inclusive work environment is critical. Additionally, the younger generations – Millennials and now Generation Z – who have entered the workforce or are just beginning to work (and who are making up a sizeable percent of the working population) are more racially and ethnically diverse. To retain this talent, companies must adapt and ensure that diversity and inclusion are a focal point of their business strategy. For Comerica, attracting and retaining diverse talent is so important that our head of talent acquisition also serves as our Chief Diversity Officer. We also have a National Director of Hispanic Business Development, who directs Hispanic business and community outreach in our markets.

MAKING A BOARD

Linda Chavez, ABM Industries Director, believes that focus on employees is one big factor to make a board a good one. GREYHOUND WAS my first Board, a bus company, a major transporter of immigrants and I had the knowledge to provide insights about the customers, their views and concerns. I provided those insights about the Hispanic communities. My second Board was ABM. The General Counsel was looking into expanding the Board and again my background on public issues made me a candidate because he wanted someone able to understand the Hispanic population. My third Board was Pilgrim’s Pride, the second poultry producer in the nation. I was a good candidate for that Board because of my view and understanding of the workers visions. I had recently published a book on Workers Unions issues and at that time it was relevant to have someone with this understanding and view on their Board. Diversity was important but back then they talked more about female Board members and African Americans. These were the two areas in which search firms concentrated in, but there was not a true emphasis on Latinos. I’ve been in the Governance Committee at ABM Board and when we are looking for new Board members, I always tell the search firms, “I want to see a first batch of candidates who are diverse.” From there we always try to find the best candidates. If they are white male or female, it’s okay. We focus on recruit-

ing the best candidate no matter what. But I like to begin the search with a list of diverse candidates; to make sure we’re going to see everyone. At ABM we have always had a lot of diversity. We have Indian Americans, women, Portuguese American, and Cuban American and it has grown organically. I like to see all kinds of diversity, not only racial or ethnic. Diverse Board members bring perspective, different views, and experience with different situations. They understand these different views. With Greyhound my emphasis was on consumers and how to better understand them. I grew up poor myself; always riding on a bus. I flew for the first time in my early 20’s. With ABM and Pilgrim’s Pride, the emphasis has been to understand the employee base better. Not all of them are Latinos; in one Chicago facility we have immigrants from Poland, Russia and even Albania. We’re completely focused on trying to understand their issues, challenges, and how can they become more productive. Especially now that immigration is such an important topic. We have had difficulties finding workers. Our CEO has had to discuss immigration with Congress for the first time. The lack of immigrants makes hiring employees more difficult for us.

When it comes to Chardonnay, winemakers have learned to make this wine’s beauty shine through.

WHEN I FIRST started making wine in the early 1980s Chardonnay was planted in lots of places that were too hot. At harvest we crushed the white varieties the same way we do reds. And we fermented in large stainless steel tanks and aged in oak barrels that were often several years old.

Looking back

By the late 1980s, winemakers started looking to the white wines of Burgundy for inspiration and two things changed. First more Chardonnay was fermented in new oak barrels. Second came an explosion in the number of Chards put through malolactic (ML) fermentation. I liked the flavors that came with more time in oak, but I wasn’t a fan of ML. At Shafer we re-planted our Chardonnay in Napa Valley’s cooler growing area called Los Carneros. Here we harvested fruit that maintained clean acidity. We don’t knock that crispness back with malolactic fermentation. Instead we age our Chardonnay on the lees, that is the yeast the caused fermentation, giving it a rich creamy mouthfeel.

HAD THE PRIVILEGE to being invited for the second year to the great TexSom event in Dallas last September. Thank you to my friends Steve and Kelly Katzman and the very nice Katrin Naelapaa from Wines from Spain, I was fortunate enough to walk through more that 250 wine exhibitors and hundreds of wines. A lot of restaurant sommeliers, wine buyers and wine reps were there to talk about their wines. This year I had a wonderful surprise from Achaval Ferrer, from Argentina; their “Finca Altamira” 2014 showed spectacular fruit notes, with tobacco, vanilla and sweet prune accents. Gigantic body with a super powerful structure and yet elegant and sublime. Another giveaway from South America was the hardly impossible to get Garzon “Balasto” 2016 from Uruguay, a unique and ever changing blend with Tannat, Cabernet Franc and Petite Verdot. This magical wine was spiced, full of character with black fruit and some earthy/herbal hints. Worth cellaring for at least 20 years! Other nice encounters were the Antinori Napa Valley Cabernet Sauvignon called “Antica” 2015 whose price ($50-$65) in retail make it a very good competitor of the big California Cabs. This one has some Tuscan style, but it shows its muscular Napa Cabernet personality with vanilla, black cherries and plum notes. Big body and balance, it opens very nicely after a couple of hours. I also tried the famous Insignia from Jospeh Phelps, but was not completely impressed. The wine is a beautiful wine, don’t get me wrong; with fantastic fruit concentration, cinnamon and red currant notes on a toasted espresso bean background. But given the name it has made and the overvalued price, I was sincerely expecting more.
