Our Litigation & Dispute Resolution Department has achieved important successes with reference to notable cases such as: On 11 February 2011, our client (‘the Buyer’), a company operating in the distribution of construction materials, signed a preliminary agreement for the acquisition of the assets of another company operating in the same business and in the same Italian territory (‘the Seller’). According to said preliminary agreement: a. the assets to be transferred with the definitive agreement included: I. the facilities where the Seller was running its business, for the price of 1,400,000.00 Euros. The facilities were leasehold and a special authorization from the leasing company was required;

II. the equipment and the machineries listed in the preliminary agreement for the price of 400,000.00 Euros; III. the inventory for a price between 800,000.00 Euros and 1,200,000.00 Euros; IV. the goodwill of the Seller, for 100,000.00 Euros; V. the Employees; b. the final agreement had to be signed on 10 March 2011 (then postponed to 4 April 2011) subject to the fulfilment of the following conditions: I. the parties had to check the consistence of the Seller’s assets; II. the leasing company’s endorsement for the facilities transfer; III. the validity of all the Seller’s commercial licenses; IV. the filing and following approval of liquidator program subject to the Tribunal supervision. On 4 April 2011, the parties held a meeting to mutually check the above conditions, but the result was negative.

On 20 November 2012 the Seller sued the Buyer before the Court of Modena. The Seller requested that the Court was required: a) to ascertain the Buyer’s pre-contractual liability, ex article 1337 of the Italian Civil Code, for not signing the final agreement, and, therefore; b) to condemn the Buyer to indemnify the Seller for all direct and indirect cost damages occurred or to be incurred, having allegedly diverted clients and employees “belonging” to the Seller. The Buyer, represented by our firm, filed a statement of defence, in which he requested to the Court to reject the Seller’s claims because they were groundless, considering that on 11 February 2011 both parties signed a preliminary agreement so that a pre-contractual liability implying the “non recurrence of a contract” was an evident misrepresentation. The Court at the end of two hearings rejected all of the Seller’s arguments, granting a total favourable decision in favour of the Buyer.
