6. It is understood that advertising client and agency agree to reimburse Skinnie for any fees or costs incurred by Skinnie in the collection of any unpaid charge or portion of the charge for advertisements including, but no limited to, attorney’s fees and court costs. 7. Skinnie is not responsible for any changes accepted after closing dates or errors in key facts or figures.

5. Cancellation of any portion of advertising contract by agency or advertising client or failure to have published the specified size of ad or number of pages immediately renders null and void any rate discount, including for previously published advertisements, and may result in short-rate. In such an event, the page rate/pricing will be recalculated for the published portion of the order and agency and/or advertising client must reimburse Skinnie within thirty (30) days of the invoice pertaining thereto.

1. Rates published herein are effective immediately and hereafter beginning with Issue 7.7 #79, Aug 2008. Any changes in rates or pricing will be released no less than seven (7) weeks prior to the release of the issue to which such rates shall apply.

3. Advertising client and/or agency may not cancel orders for advertising after closing dates. It is understood that the advertising client and agency are jointly and severely liable for the payment of invoices for advertising published thereafter.

2. Skinnie reserves the right to refuse, reject or cancel any advertising order or advertising copy for any reason at any time, regardless of past publishing of the same.

4. Orders for cover pages are final and non-cancelable. Options for cover positions must be exercised at least thirty (30) days before the closing date. If order is not received by such date, the cover option automatically lapses.

8. A sample of any supplied insert, art, or other material for advertisements, flyers or other marketing and promotional materials must be submitted and approved by Skinnie before printing and/or distribution. Advertising client and agency will be responsible for additional charges incurred by Skinnie arising from the advertising client and/or agency’s failure to deliver/provide supplied material or art in accordance with Skinnie’s specifications. If Skinnie is unable to publish the supplied material or art as a result of such failure to comply, advertising client and agency shall remain liable for the cost of the space in which it was to be published. 9. All advertisements must be clearly and prominently identified by the signature and/or trademark of the advertising client. Advertisements which simulate editorial material must be clearly labeled “ADVERTISEMENT” and Skinnie may, at its sole discretion and without permission or notification, label them as such.

10. Advertising client and agency represent and warrant that they are authorized and able to publish the content and subject matter of the advertisements in their entirety and that the publication and distribution of said advertisements will not defame anyone or violate the trademark, copyright, right of publicity or right of privacy or any other proprietary right of any third party. In regards to the publication and distribution of the advertisements, the advertiser and agency will indemnify and save Skinnie harmless from and against any loss, claim or expense arising from the publication of such advertisements, including but not limited to, those resulting from claims or suits for libel, plagiarism, violations of rights of publicity or privacy, infringements of copyrights or trademark or other claim for violation of any proprietary right. 11. Any conditions on contracts, orders or copy instructions involving the placement of advertising within an issue of Skinnie (such as page location, competitive separation, or placement facing editorial copy) will be treated as requests only. Skinnie’s inability or failure to comply with any such request shall not relieve advertising client or agency of obligation to pay for the advertising. 12. Skinnie shall not be liable for any failure to publish, circulate or distribute all or any part of any issues, flyers, posters, or materials due to strikes, work stoppages, accidents, fires, acts of god, or any circumstances not within the control of Skinnie Magazine. 13. In consideration of Skinnie’s reviewing for acceptance of any advertising for publication, advertising client and agency shall not make promotional or merchandising references to Skinnie without the prior consent of the publishers in each instance. 14. No conditions, printed or otherwise, appearing on contracts, orders, or copy instructions which conflict with the above provisions will be binding upon Skinnie Magazine. REV 08.06.08
